Q2 2026 Earnings Call Summary

Q2 2026
Earnings Call Date:Aug 12, 2026|
% Change Since:
|
Earnings Call Sentiment|Positive
The call conveyed a strategic positive shift: an important product approval (Utebzi), a high-value in-license (SP001) with a clear development plan in IgG4-RD, a non-dilutive $105M financing that extends runway into H2 2029, and a strengthened clinical leadership team. Offsetting these positives are an absence of current revenue (Q2 2026 revenue $0 vs $14.2M prior year), a wider net loss and increased loss per share, dependence on GSK royalty/milestone streams to service the financing, and SP001 remaining early-stage with a small planned Phase II. On balance, management’s actions materially de-risk near-term funding and position the company for an immunology strategy, but meaningful clinical and commercial execution risks remain.
Company Guidance
Spero said the key near‑term financial and development guidance is anchored by a $105.0M nondilutive, nonrecourse royalty financing (special‑purpose subsidiary issued $105M senior secured notes, 10% annual interest, 9‑year maturity, principal & interest payable quarterly from GSK Utebzi milestones/royalties; after repayment Spero retains 35% of additional GSK proceeds) and an exclusive SP001 license with Innovent with an estimated $1.1B total contingent value; cash & cash equivalents were $50.8M as of June 30 (pre‑financing) and, together with the financing, are expected to fund the $35M nonrefundable Innovent upfront plus operating and capex into the second half of 2029 (cash runway updated to 2H‑2029). Operational milestones include a Phase II IgG4‑RD trial planned to begin in Q2‑2027 (open‑label, 6 monthly doses, two dosing arms, up to ~15 patients per arm, i.e., ~30 patients total) and Utebzi availability in the U.S. in 2H‑2026; reported Q2‑2026 P&L metrics were net loss $9.6M (diluted loss per share $0.16) vs $1.7M ($0.03) in Q2‑2025, revenue $0 (vs $14.2M), R&D $3.4M (vs $10.7M) and G&A $6.5M (vs $5.9M).
FDA Approval of Utebzi (tebipenem pivoxil)
On June 17, 2026 the FDA approved Utebzi, the first and only oral carbapenem for complicated urinary tract infections (including pyelonephritis). Approval based on PIVOT-PO Phase III (stopped early for efficacy May 2025). GSK holds exclusive commercialization rights (excludes certain Asian territories where Meiji retains rights) and expects U.S. availability in the second half of 2026.
In-license of SP001 (IBI355) with Significant Upside
On July 8, 2026 Spero in-licensed SP001 from Innovent with an estimated total contingent deal value of $1.1 billion. Spero obtained exclusive worldwide rights excluding Greater China. SP001 is a third-generation Fc-silent IgG1 monoclonal antibody targeting CD40 ligand, has completed two Phase I studies and a Phase Ib in primary Sjogren's disease (data presented at EULAR June 2026). Spero plans a Phase II in IgG4-related disease expected to begin in Q2 2027 (open-label, two dosing arms, up to ~15 patients per arm).
Non-dilutive $105M Royalty Financing Strengthens Balance Sheet
Closed $105 million nondilutive, nonrecourse royalty financing with affiliates of Healthcare Royalty (KKR). Financing structured via a special purpose subsidiary issuing senior secured notes carrying 10% annual interest and a 9-year maturity; principal and interest payable quarterly and derived solely from GSK milestone and royalty payments on Utebzi. After repayment, Spero retains 35% of additional GSK milestone and royalty proceeds. Transaction provided immediate capital and extended cash runway guidance into the second half of 2029.
Cash Position and Runway Extension
Cash and cash equivalents were $50.8 million as of June 30, 2026 (does not reflect net proceeds from the $105M financing). Management expects the June 30 balance plus financing proceeds to fund the $35M nonrefundable upfront to Innovent and operations into the second half of 2029.
Leadership Hire — New Chief Medical Officer
Hired Dr. Debra Zack as Chief Medical Officer (joined August 3, 2026). Dr. Zack is a board-certified rheumatologist with a PhD in immunology and >25 years of clinical development leadership in immune-mediated diseases, strengthening clinical development capabilities for SP001 in immunology.
Reduced R&D Spend Year-over-Year
Research and development expense decreased to $3.4 million in Q2 2026 from $10.7 million in Q2 2025, a reduction of approximately 68.2%, primarily due to reduced clinical activity following early completion of the Phase III trial for Utebzi and lower personnel-related costs.
