Q3 2026 Earnings Call Summary
The call was strongly optimistic. Management reported exceptional 98% fleet uptime, nearly full contract coverage through 2027, more than $4 billion of year-to-date awards, improving backlog visibility, strong regional demand, debt reduction, and progress toward the Valaris combination and its expected $200 million of annual synergies. The main negatives were lower sequential free cash flow, acquisition-related G&A, higher cost guidance, expected 2027 O&M increases and low-single-digit cost inflation, limited near-term gap-filler work, and some rigs leaving the Gulf of Mexico. The positive operating, market, backlog, and balance-sheet developments significantly outweighed the challenges.
For Transocean stand-alone, 2026 revenue guidance has been narrowed by $25 million, the lower end of full year cost guidance has increased by $25 million, full year G&A guidance is $185 million to $190 million excluding transaction related expenses, and full year interest expense guidance is approximately $500 million, including Q4 interest expense approximating $107 million; the company expects to end 2026 with less than $4.8 billion of gross debt and total liquidity around $1.3 billion, including its existing undrawn $510 million revolving credit facility. Preliminary 2027 guidance assumes the fleet is 95% committed, year over year O&M costs increase by approximately $60 million, and cost inflation remains in the low single digits in 2027; 2026 remaining contract coverage already approximates 100%.
- Valaris Acquisition Clears Regulatory ReviewTransocean received all necessary regulatory approvals for the Valaris acquisition, including approval from the U.S. Department of Justice and Brazil's CADE with no conditions. Shareholder votes are scheduled for November 24, Bermuda court approval is expected on November 26, and closing is expected on December 1. The company expects to deliver approximately $200 million in annual synergies after closing.
- Constructive Deepwater and Harsh Environment MarketManagement described global market conditions and energy supply-and-demand trends as very constructive. Deepwater and harsh environment spending is expected to increase, while active fleet utilization is at or above 90% for drillships and demand for sixth- and seventh-generation drillships is expected to exceed 95% by the end of 2027.
- Record Drillship Backlog and Tightening UtilizationDrillship backlog reached 237 rig years, averaging roughly 2.5 years per unit, the highest level in over a decade. Management expects utilization to tighten further as exploration and development investment increases, with contracting lead times expected to lengthen.
- Nearly $2 Billion of Recent Backlog AwardsRecent awards added nearly $2 billion of backlog, including approximately $1 billion associated with the formal approval of three CAT-D rig placements with Equinor. Notable awards included a 10-well Proteus contract worth approximately $325 million, two Conqueror contracts totaling $305 million, a $300 million Dhirubhai Deepwater KG2 commitment with ONGC, approximately $62 million for Transocean Norge with Shell, and approximately $24 million for a Transocean Equinox option in Australia.
- Strong Fleet Contract CoverageRecent commitments effectively sold out the fleet for the remainder of 2026. Contract coverage improved from 81% to nearly 95% for 2027 and reached approximately 65% for 2028. The Deepwater Mykonos was identified as the only ship available to commence a term contract in the next 12 months.
- Large Pipeline of Additional DemandApproximately 104 rig years had been awarded year to date, while operators were evaluating roughly 35 open tenders representing a further 45 rig years of potential demand. Management said the pipeline remains healthy across multiple regions.
- Regional Growth OpportunitiesManagement expects African demand to increase the regional rig count from approximately 15 units today to more than 20 units in the next 18 months, with opportunities in the Ivory Coast, Mozambique, Namibia, and Nigeria. Southeast Asia was estimated to have potential demand of 7 to 9 rig years from four to five opportunities, while India could see a multirig, multiyear program involving as many as four drillships in the next two years.
- Strong Norway and North Sea PositionUtilization of high-specification harsh environment semisubmersibles in Norway remains exceptionally strong through 2028. The Spitsbergen and Equinox were described as Transocean's only harsh environment semisubmersibles available before 2029, and two rigs that had previously left Norway to work overseas are returning. Norway is also seeing direct negotiations and long-term partnership deals.
- Excellent Operational PerformanceFleet uptime was 98% during the quarter and year to date, in line with the company's best performance ever. Average daily revenue was approximately $463,000, while revenues and operating and maintenance costs were within guidance.
- Stable Adjusted EBITDA and MarginThird-quarter adjusted EBITDA was $313 million, with an adjusted EBITDA margin of 33%, consistent with the prior quarter.
- Debt Reduction and Improved Financing CapacityTransocean retired more than $2 billion of debt over the last 24 months. It fully redeemed approximately $200 million of 8% Deepwater Aquila senior notes, saving approximately $22 million of interest expense through maturity. The amended revolving credit facility increased total capacity to $750 million, improved terms, and extended scheduled maturity by three years to late 2031.
- Improved Leverage and LiquidityTrailing 12-month net debt to EBITDA was 2.9x, one full turn lower than a year ago. The company ended the quarter with approximately $500 million of unrestricted cash and total liquidity of approximately $1.3 billion. Management expects to end 2026 with less than $4.8 billion of gross debt and total liquidity of around $1.3 billion.
- Strong Backlog and Combined Company PositionTransocean added more than $4 billion of contract awards year to date, bringing stand-alone backlog to approximately $8 billion. Management expects the combined company to have a pro forma backlog of approximately $12.7 billion after the Valaris transaction closes.
- Positive Long-Term Energy Security DemandManagement said national oil companies are securing rig capacity to support domestic production and energy security agendas. India has earmarked $9 billion for large-scale exploration and development, and ONGC moved quickly from finalizing bids to awarding work while recognizing rig scarcity.
- Longer Contract Durations and Future Pricing PotentialAverage contract duration increased from approximately 245 days last year to 380 days this year, an increase of more than 50%. Management said the current pipeline includes several contracts lasting two to three years or longer and expects customers to contract earlier and for longer as out-year visibility tightens.
- Limited Risk of Gaps for Key RigsManagement said the likelihood of a meaningful gap for Deepwater Atlas is very low and that there are plenty of opportunities to fill its transition. The Mykonos has options available, and management also described the risk of significant idle periods for that rig as low.
- Healthy 20,000-PSI Completions MarketDemand for 20,000-psi completion equipment was described as solid and increasing, particularly for exploration wells in the Gulf of Mexico. Management expects major activity to build in the latter part of this decade and into 2030 as deep-reservoir exploration and development programs progress.
- Disciplined Approach to Cold-Stack ReactivationTransocean stated that it will not reactivate cold-stacked ships speculatively. Reactivation would require a contract and recovery of the investment, with an estimated 12- to 15-month lead time. Management said it would pursue reactivation only when the economics and returns are assured.
