Earnings Call Sentiment|Positive
The call was cautiously positive. Olin highlighted improving Epoxy performance, stronger Winchester commercial and military demand, more than $1 billion of new ammunition contracts, progress toward the OlinHuntsman merger, substantial expected synergies, cost-reduction momentum, strong liquidity and a 100-year dividend milestone. These positives were tempered by VCM-related headwinds, Chinese export pressure, higher energy and freight costs, elevated maintenance expenses, below-historical Winchester margins, higher leverage and a cautious fourth-quarter outlook.
Company Guidance
Olin expects to close the OlinHuntsman merger in the first quarter of 2027, with more than $400 million of cost synergies and integration benefits, and expects year-end leverage to be approximately 5x or slightly higher, year-end working capital approximately in line with 2025 levels excluding the impact of legacy litigation payments, and year-end net debt to be higher than year-end 2025. Olin continues to target 2026 capital spending of approximately $200 million, expects $1.3 billion of available liquidity, expects to deliver in the range of $110 million to $120 million of incremental structural cost reductions in 2026, expects annual savings to surpass its original $250 million target by 2028, and expects $60 million to $80 million of additional reductions next year. Fourth-quarter adjusted EBITDA is expected to be in the range of $80 million to $100 million, for full year 2026 adjusted EBITDA of approximately $550 million to $570 million; CATV maintenance turnaround costs are expected to be approximately $25 million, Epoxy faces a $30 million sequential increase in turnaround costs, 2027 is expected to have very low epoxy plant turnaround costs, and Winchester’s defense business is expected to be sequentially higher. The company expects caustic markets to tighten, price increases to be realized in the first quarter of 2027, freight cost increases of more than $80 to $100 per ton for Asian caustic exports to Europe and Latin America, and continued uninterrupted quarterly dividend payments, with the next dividend marking 100 years of consecutive quarterly dividend payments.
Freeport VCM Operations Restored
Olin completed work at the Freeport site and returned its VCM assets to normal operations in mid-September as planned.
Caustic Soda Market Expected to Tighten
Domestic caustic soda prices improved slightly on similar volumes versus the second quarter, and Olin maximized third-quarter caustic value despite a turbulent export market. Management expects markets to tighten toward year-end and has announced price increases expected to be realized in the first quarter of 2027.
Epoxy Business Showing Improvement
The Epoxy business continues to improve through self-help actions, margin management, structural cost reductions, reliable local supply in the U.S. and Europe, and growth in higher-value formulated solutions for electronics, composites and coatings.
Winchester Commercial Demand and Channel Health Improved
Out-the-door commercial ammunition demand improved year-over-year in the third quarter. Year-to-date September NICS background checks for firearm purchases were up year-over-year for the first time since 2020, while the commercial order backlog continued to grow year-over-year and channel inventories, consumer takeaway and production were described as much healthier than a year ago.
More Than $1 Billion in Military Ammunition Contracts
Winchester was awarded more than $1 billion in contracts during the quarter, including approximately $600 million to equip the new Lake City 6.8 millimeter ammunition facility. Winchester also delivered its first shipment of Lake City-produced 6.8 millimeter rounds to the U.S. military, and the Army renewed its five-year second-source supply contract with an initial delivery valued at $50 million over the next 12 months.
Lake City 6.8 Millimeter Capacity Expansion
Winchester's interim production capacity for the new 6.8 millimeter ammunition is expected to scale by a factor of 10 as the Lake City project is completed. The first rounds produced on U.S. government-owned assets met the full requirements of the new rounds.
OlinHuntsman Merger Progressing Toward First-Quarter 2027 Close
The merger received overwhelming shareholder support, cleared the Hart-Scott-Rodino waiting period in the United States, and received regulatory approval in several other key jurisdictions. Reviews continue in Europe, China and other remaining regions, and Olin now expects closing in the first quarter of 2027.
High Confidence in More Than $400 Million of Merger Benefits
Management remains confident in delivering more than $400 million of cost synergies and integration benefits. This includes a stated high level of confidence in $300 million from fixed costs, overhead and efficiency improvements, plus $100 million related to chlorine supply beginning in 2030.
Expanded Liquidity and Financial Flexibility
Olin executed a new credit agreement to support the combined company after the Huntsman merger, backed by strong commitments from its combined relationship bank group. Olin ended the quarter with $1.3 billion of available liquidity and no restrictions on the undrawn portion of its revolving credit facility.
Beyond250 Cost Reduction Program on Track
Olin remains on track to deliver $110 million to $120 million of incremental structural cost reductions in 2026, with annual savings expected to surpass the original $250 million target by 2028. The company expects an additional $60 million to $80 million of reductions in 2027, and CAPV manufacturing costs were down mid-single digits year-over-year.
Longstanding Dividend Record Maintained
Olin expects to continue uninterrupted quarterly dividend payments, with the next dividend marking 100 years of consecutive quarterly dividend payments.
Capital Spending Focused on Asset Reliability
Olin continues to target 2026 capital spending of approximately $200 million, focused on safe, reliable and efficient operation of its assets.
Structural Chlor-Alkali Supply Position Viewed Favorably
Management estimates that net global chlor-alkali capacity increased by only a few hundred thousand tons in 2026 after closures, describing this as structurally favorable and expressing optimism about the industry's outlook as global economic demand improves.
Lower Near-Term Legacy Litigation Cash Payments
Olin paid approximately $114 million to Shintech for legacy litigation obligations through the third quarter and does not expect further payments this year, compared with prior expectations of approximately $190 million to $195 million for 2026.
2027 Epoxy Turnaround Costs Expected to Be Low
Although epoxy faces a $30 million sequential increase in turnaround costs in the fourth quarter, management expects very low epoxy plant turnaround costs in 2027, alongside continued benefits from structural cost reductions and commercial strategies implemented during 2026.
