WD-40 Company (WDFC) has provided an announcement.
Gregory A. Sandfort will retire from his position as the non-executive Chair of WD-40 Company’s Board at the upcoming Annual Meeting on December 12, 2024, after serving since 2011 and becoming Chair in December 2022. His retirement is not due to disagreements with the company. Concurrently, the Board will reduce its size from 11 to 10 directors. Additionally, the Board has updated the Company’s bylaws to streamline the director nomination process, clarify definitions, and specify jurisdiction for legal disputes, with changes effective immediately. These amendments aim to enhance governance and procedural efficiency within the company.
