On September 19, 2025, NexPoint Diversified Real Estate Trust and NexPoint Real Estate Advisors X, L.P. amended their Advisory Agreement, originally established on July 1, 2022, to modify the fee structure. The amendment allows the Adviser to receive monthly fees in cash or common shares, with a cap of 6,000,000 shares, and permits deferral of fees without accruing interest. This amendment was reviewed and approved by the Audit Committee of the Board of Trustees in line with the company’s Related Party Transaction Policy.
