The primary reason for this delay is the company’s financial difficulties, which have raised substantial doubt about its ability to continue as a going concern. Additionally, the company recently dismissed its independent registered public accounting firm, PricewaterhouseCoopers, LLP, and is in the process of engaging a new firm. The company received an advance distribution from XTO Energy, Inc. to help meet its financial reporting obligations, but the timing of this distribution did not allow for the completion of the Form 10-Q by the due date. Hugoton Royalty Trust does not anticipate filing the report within the five-day grace period but intends to file it as soon as possible.
