Following Hilton Grand Vacations Inc.’s acquisition of Bluegreen Vacations Holding Corporation in January 2024, the company’s Compensation Committee has awarded Transaction Incentive Awards to key executives, aiming to reward their role in the successful merger and to motivate ongoing performance. These awards, split between performance-based restricted stock units and cash, are tied to achieving specific cost-saving and EBITDA targets over a set period. Additionally, salary and bonus adjustments for certain executives have been made in accordance with the company’s incentive program guidelines.
