Q3 2026 Earnings Call Summary
The call was strongly positive overall. Management reported 6.4% year-over-year third-quarter AFFO per share growth, raised full-year AFFO and investment volume guidance, reduced expected rent losses, maintained high occupancy, and described liquidity and 2027 funding capacity as strong. The main challenges were higher interest rates, tighter sector spreads, uncertain transaction timing, rising interest expense, and a manageable 2027 Eurobond refinancing headwind, but these were presented alongside substantial capital availability and continued investment opportunities.
W. P. Carey raised and narrowed 2026 AFFO per share guidance to between $5.23 and $5.29, implying year over year growth of 5.8%, and set full-year investment volume guidance at $1.8 billion to $2.1 billion, with a path to the top half of the range; investments expected to close in the fourth quarter have cap rates averaging in the mid to high 7s and average yields well into the 9s, approaching double digits in some cases. Estimated potential rent loss from tenant credit events is between $3 million and $5 million or 25 basis points of ABR at the midpoint, other lease related income is expected to total in the mid-30 million dollars range, and fourth-quarter rent abatements could have a $0.02 to $0.03 impact. Full-year dispositions are expected to be between $350 million and $450 million, property expenses between $54 million and $57 million, tax expense between $40 million and $43 million, and G&A expense between $104 million and $106 million. Contractual same store rent growth is expected to remain in the mid- to high 2% range throughout next year, while approximately $300 million of annual retained cash flow is expected from the real estate portfolio in 2027.
- AFFO Growth Outlook RaisedThird-quarter AFFO per share was $1.33, up $0.08 or 6.4% year over year, driven by investment activity and rent growth, partly offset by settling forward equity. Full-year 2026 AFFO per share guidance was raised and narrowed to $5.23 to $5.29, with the midpoint increased by $0.03 and implying year-over-year growth of 5.8%.
- Strong Year-to-Date Investment ActivityThe company completed approximately $1.6 billion of investments year to date at a weighted average initial cash cap rate of 7.5%. Third-quarter and expected fourth-quarter investments have averaged cap rates in the mid to high 7s, translating to average yields well into the 9s and approaching double digits in some cases. Most investment volume has gone into warehouse and industrial properties, with the U.S. and Europe mix broadly in line with historical activity.
- Investment Volume Guidance IncreasedFull-year investment volume guidance was increased to a range of $1.8 billion to $2.1 billion, with the low end moderately raised. Management said that, if transactions tied to broader corporate activity remain on their anticipated timelines, there is a path to the top half of the range.
- Tenant-Focused Development PipelineThe Carey Tenant Solutions initiative has 11 projects underway that are expected to add approximately $325 million to investment volume over the next 12 to 24 months, including about $95 million scheduled to deliver in the fourth quarter. Management said these projects generally have higher cap rates and longer lease terms than traditionally sourced investments.
- Strong Portfolio Performance and Lower Rent Loss OutlookThe portfolio continued to perform well, with strong tenant collections and no new rent disruption from credit events during the third quarter. Estimated potential rent loss from tenant credit events was reduced to between $3 million and $5 million, or 25 basis points of ABR at the midpoint, from the prior estimate of $7 million to $10 million.
- Helwig Exposure ReducedThe company collected rent for the full third-quarter period from Helwig and received its previously outstanding June rent payment. Helwig was moved out of the top 25 tenants by the end of the third quarter, and new leases with stronger operators recaptured close to 100% of prior rent, with rent scheduled to commence between late 2026 and mid-2027. The remaining Helwig stores are expected to be sold over the remainder of 2026 and into early 2027.
- Embedded Internal Rent GrowthContractual same-store rent growth was 2.6% year over year in the third quarter, reflecting higher inflation and certain multiyear rent escalations. Comprehensive same-store rent growth was 2.2%, benefiting from improving occupancy and strong rent collections. Management expects contractual same-store rent growth to remain in the mid- to high-2% range throughout next year, with nearly half of rent tied to CPI.
- Successful Re-Leasing ActivityThe company recaptured about 105% of prior rents and added approximately nine years of incremental weighted average lease term on just under 1% of total ABR. This included a 10-year lease extension with Nord Anglia completed alongside an expansion project.
- High Occupancy and Disposition ProgressOccupancy increased by 10 basis points to 98.6% at the end of the third quarter. Asset sales totaled $27 million during the quarter and $273 million for the first nine months. Full-year disposition guidance was tightened to between $350 million and $450 million.
- Expense and Tax Guidance ImprovementsFull-year property expense guidance was reduced to between $54 million and $57 million, and tax expense guidance was reduced to between $40 million and $43 million due to international leasing activity tax structuring optimization and the expected composition of investment activity.
- Strong Liquidity and Capital PositionThe company ended the third quarter with $2.6 billion of liquidity, including almost full availability on its $2 billion credit facility, and approximately $540 million of forward equity available for settlement. Net debt to adjusted EBITDA was 5.5 times excluding unsettled forward equity and 5.2 times inclusive of it, both described in the context of a low-end leverage position.
- Funding Capacity for 2027Management expects approximately $300 million of annual retained cash flow from the real estate portfolio in 2027, in addition to ordinary-course dispositions, accretive asset sales, the largely undrawn revolver, and potential liquidity from Lineage shares beginning in the second half of 2027. Management said these sources should support continued capital deployment throughout 2027 without needing to access the equity capital markets.
- Manageable Near-Term Refinancing ScheduleOnly one bond is scheduled to mature in each of 2027 and 2028, both denominated in euros. Management expects to refinance the euro maturities with euro bonds and continue benefiting from the lower cost of debt in Europe.
- Dividend Increased and Well CoveredThe quarterly dividend was increased 4.4% year over year to $0.95 per share, or $3.80 annualized. The payout ratio remained 71%, and the dividend yield was approximately 7% at the current stock price.
- Improving Sale-Leaseback Pricing and Investment SpreadsManagement said cap rates on comparable transactions have moved higher, particularly for sale leasebacks involving sub-investment-grade industrial properties. Current pipeline cap rates are in the mid- to high-7% range, with deal-specific cap rates ranging across the 7% range and into the 8s. Average yields over the life of leases are well into the 9s, and management referenced historical target spreads of 200 to 300 basis points over spot cost of capital.
- European Activity and Education Asset ExpansionApproximately 30% of year-to-date deal volume has been in Europe, with the pipeline at similar levels and sale-leaseback cap rates broadly in line with those in the U.S. The company also acquired another Nord Anglia school, bringing its owned Nord Anglia schools to four, and said it may pursue additional opportunistic education investments.
- Credit Watchlist ImprovingManagement said overall credit risk has improved and several companies have come off the watchlist. Helwig is expected to come off the list in the fourth quarter. Cornerstone and Hertz were each cited at approximately 60 basis points, while the remaining watchlist exposures were described as much smaller.
