Q3 2026 Earnings Call Summary
The call was strongly positive overall. Management reported record new leasing, improved occupancy, revenue and EBITDA growth, higher full-year guidance, an expanding development pipeline, improved credit ratings, and strong demand across electronics, AI-related industries, e-commerce, logistics, and manufacturing. The main challenges were a slight FFO decline, year-over-year margin contraction from higher costs, uneven regional conditions, trade-related timing uncertainty, potential tax changes, and interest-rate volatility.
For full year 2026, Vesta now expects revenue growth of 11.5% to 12.5%, up from its prior guidance of 10% to 11%, and expects adjusted NOI and adjusted EBITDA margins to reach 94% and 84%, respectively, by year end, up from its prior guidance of 93.5%, 83%. Management said “Yields on cost remain at double digits” and estimated returns between 10% to 11% return on cost; over the next 12, to 24 months, “maybe 1 third to half of the projects” will continue to be in the build to suit area.
- Record Leasing Activity and Broad Customer DemandVesta signed approximately 2.3 million square feet of leases during the quarter, including a record 1.6 million square feet of new leases. Activity spanned electronics, e-commerce, logistics, automotive, consumer goods, food and beverage, and other industries, with established customers including BMW, BSV Logistics, and MercadoLibre.
- Improved Portfolio OccupancyTotal portfolio occupancy reached 93.9% at quarter end, an increase of 22 basis points from the second quarter. Stabilized occupancy was also 93.9%, while same-store occupancy increased to 95.5%.
- Strong Renewals and Leasing SpreadsVesta completed approximately 700,000 square feet of lease renewals with a weighted average lease term of approximately five years. The trailing 12-month weighted average leasing spread remained strong at 10%.
- Revenue and Profitability GrowthThird-quarter total revenue increased 9.9% year over year to $79.6 million. Revenue excluding energy increased 10.8% to $77.5 million, adjusted NOI increased 10.4% to $72.9 million, and adjusted EBITDA increased 9.2% to $65.2 million.
- Raised Full-Year 2026 GuidanceVesta raised its full-year 2026 revenue growth guidance to 11.5% to 12.5%, from prior guidance of 10% to 11%. Adjusted NOI margin guidance increased to 94% from 93.5%, and adjusted EBITDA margin guidance increased to 84% from 83%.
- Accelerated Development PipelineVesta initiated approximately 1.9 million square feet of new construction across five inventory buildings during the quarter: three in Monterrey, one in Juarez, and one in Guanajuato. After these starts and the delivery of two fully occupied buildings, the development pipeline reached approximately 3.3 million square feet under construction, representing an estimated investment of $282.5 million and an expected yield on cost of 10.2%.
- Fully Occupied Building DeliveriesVesta delivered one building in Guadalajara ahead of schedule during the third quarter and, together with a building delivered in Queretaro, both properties were fully occupied upon completion.
- Expansion of Strategic Land BankFollowing quarter end, Vesta acquired an additional Mexico City land parcel comprising approximately 689,000 square feet. Management said the acquisition strengthens development capacity in one of Mexico's most important logistics markets and advances Route 2030 land requirements.
- Strong Development EconomicsManagement stated that development yields on cost remain at double digits, with estimated returns between 10% to 11%. Management also noted that stabilized assets in the private market were trading at approximately 6% to 7% cap rates, supporting a stated spread relative to Vesta's development returns.
- Robust Balance Sheet and Improved Credit RatingsVesta ended the quarter with $240 million in cash and cash equivalents and $1.1 billion of total debt. Net debt to EBITDA stood at 3.3 times and loan to value was 22.3%. Standard & Poor's Global Ratings and Fitch upgraded Vesta's long-term issuer credit rating to BBB with a stable outlook, from BBB-minus with a positive outlook.
- Debt Prepayment and Maturity FlexibilityVesta announced a $105 million prepayment under two private financings, retiring both well ahead of maturity. Management stated that the company has no significant maturity over the next few years.
- Growth in Mexico's Industrial and Electronics DemandManagement reported renewed investment in machinery and equipment, accelerating demand tied to electronics and AI-related industries. Mexican electronics exports increased approximately 2.5 times from 2024 to 2026, and U.S. imports from Mexico reached approximately $60.6 billion in August, with Mexico accounting for approximately 18% of total U.S. goods imports.
- Positioning for AI and Digital Infrastructure DemandManagement described increasing demand related to data centers and AI-related industries, including production and distribution of servers, cooling systems, HVAC equipment, electrical switches, and other components. Vesta cited available space and energy infrastructure in markets such as Guadalajara and Juarez as positioning it to serve this demand.
- Long-Term E-Commerce and Logistics OpportunityManagement expects demand from e-commerce and logistics to continue increasing. MercadoLibre, Vesta's largest tenant, continues to grow, including through a recently closed transaction in Monterrey. Management also identified potential demand from last-mile operations and reverse logistics and said the company recently acquired land in Mexico City to be closer to large e-commerce companies.
- Diversified Regional Leasing PerformanceManagement cited leasing activity across San Luis Potosi, Silao, Tijuana, Monterrey, Puebla, and Ciudad Juarez. Examples included automotive-related demand in San Luis Potosi and Puebla, electronics in Silao and Ciudad Juarez, e-commerce and manufacturing in Monterrey, and food and beverage and manufacturing in Tijuana.
- Nearly Fully Leased Monterrey Spec DevelopmentManagement said three Monterrey buildings developed on spec at the start of the year were almost fully leased by the end of the year, with tenants from e-commerce, AI-related industries, logistics, and manufacturing.
- Flexible Spec and Build-to-Suit StrategyVesta said its industrial parks are designed to accommodate both spec and build-to-suit projects. Management expects approximately one third to one half of projects over the next 12 to 24 months to continue to be in the build-to-suit area within its parks.
- Inflation-Linked Lease ProtectionManagement stated that lease agreements include adjustments at every anniversary tied to inflation and described Vesta as well hedged toward inflation because of the nature of its lease agreements.
- Third-Quarter DividendVesta paid a cash dividend for the third quarter equivalent to 37 cents in pesos per ordinary share on October 15.
