Q2 2026 Earnings Call Summary

Q2 2026
Earnings Call Date:Jul 29, 2026|

Earnings Call Sentiment|Positive
The call emphasized strong underlying fundamentals: year-over-year revenue and AFFO growth, significant liquidity and deleveraging, strategic asset sales executed at attractive economics, improved portfolio coverage, a robust investment pipeline (including first U.K. RIDEA), and a modestly tightened upward guidance. Near-term results are being muted by intentional strategic asset sales and loan repayments, and a small number of operator-specific issues (Genesis bankruptcy, Ciena transitions, localized occupancy gaps) and regulatory risks create some near-term uncertainty. Overall, management projects these actions will strengthen credit support and enable accretive redeployment in H2 2026 and 2027.
Company Guidance
Omega tightened and raised full‑year adjusted FFO guidance to $3.22–$3.26 per share (midpoint $3.24, up $0.02 from April), reflecting a near‑term headwind of about $9 million of quarterly revenue tied to assets sold and loans repaid late in Q2; the guidance includes new investments closed as of July 29 but excludes other transactions, assumes $56 million converts to fee simple of $144 million of mortgages/loans maturing in 2026 and that $180 million of non‑real‑estate loans (including ~ $148 million of Genesis loans) will be repaid in 2026, contemplates continued portfolio pruning of $15–$25 million of asset sales per quarter, incorporates the $0.01 common dividend increase, and notes the high end of the range could benefit from timing or extensions of repayments/sales, additional cash‑basis operator payments, RIDEA and JV operating exposure, and lower G&A.
Revenue and Earnings Growth Year-over-Year
Q2 2026 revenue was $328M vs $283M in Q2 2025, a year-over-year increase of approximately 15.9%. Net income available to common shareholders was $363M ($1.19/share) vs $137M ($0.46/share) in Q2 2025 (net income per share increased ~158.7% YoY, primarily reflecting a $247M gain on asset sales).
AFFO/FAD and Sequential Improvement
Adjusted FFO (AFFO) was $261M or $0.83 per share and FAD was $248M or $0.78 per share. Management noted Q2 AFFO increased by approximately $0.25 versus Q1, and full-year AFFO guidance was tightened and increased to a range of $3.22–$3.26 (midpoint $3.24), a $0.02 increase versus prior midpoint.
Strong Balance Sheet and Liquidity Actions
Proceeds of roughly $700M from asset sales and loan repayments allowed paydown of the $2B revolver to only $6M outstanding. Leverage decreased to 3.3x and fixed charge coverage was 6.5x. Available cash was $39M and restricted cash $145M (including $118M held for 1031 exchanges).
Active, Accretive Deployment and Pipeline
YTD new investments of $470M (including $218M closed in Q2/subsequent) with $126M closed in Q2 (plus $18M CapEx). Post-quarter, $93M in additional investments closed. Management expects a material pickup in transaction volume in H2 2026 and into 2027, with a growing pipeline weighted to RIDEA and senior housing/U.K. care homes.
Strategic Dispositions Executed at Attractive Economics
Completed strategic sale of 18 CommuniCare assets for contractual proceeds of $480M and a rent discount of ~7.7%; management noted dispositions were sold at an effective ~6.7% cap rate on cash flow and produced a $247M gain, with proceeds to be redeployed into higher-return opportunities.
Improved Portfolio Coverage and Active Portfolio Management
Trailing 12-month operator EBITDAR coverage improved to 1.65x as of 3/31/2026 from 1.58x in Q4 2025 (an improvement of ~4.4%). SHOP (senior housing operating portfolio) is performing in line with underwritten expectations. Management described proactive transitions (e.g., moving 20 facilities from Ciena to Saber/HHC) to strengthen credits without negative FAD impact.
First U.K. RIDEA Investment and International Expansion
Closed first RIDEA acquisition in the U.K. (operations of four Omega-owned care homes for $20M converted to RIDEA). Management highlighted the ability to deploy RIDEA structures going forward in the U.K. and the U.S. for enhanced accretive growth prospects.
Operational/Industry Tailwinds: Staffing Recovery
Industry staffing recovered to pre-pandemic levels by June 2026 per BLS after a 14% loss by 2022 — a positive operational tailwind for rehabilitation/occupancy trends.
