Q3 2026 Earnings Call Summary
The call was broadly positive. Republic reported strong adjusted earnings, raised full-year adjusted EBITDAR guidance, improved its balance sheet, secured 5 additional E170 placements with American Airlines, and made substantial progress on Mesa integration and fleet maintenance. These positives were partly offset by weather- and ATC-related operational disruption, ongoing supply chain constraints, integration-related costs and unresolved pilot negotiations.
Republic now expects full year 2026 adjusted EBITDAR in the range of $410 million to $420 million, above the $395 million to $405 million guidance provided in July, translating to expected adjusted earnings in excess of $3.30 per diluted share for the full year of 2026. Block hour production is expected in the low single-digit numbers, 3% to 5% kind of range; 5 E170 aircraft for American will begin operations in early December under a 6-year term, with 26 Embraer delivery positions scheduled from early 2028 through mid-2030. Republic remains on track to complete fleet harmonization by the end of 2027, file, implement and complete revision cycles 3, 4 and 5 during 2027 and early 2028, and finalize labor integration in 2027.
- Adjusted Earnings and EBITDAR PerformanceThird-quarter adjusted net income was $40 million, or $0.85 per diluted share, compared with GAAP net income of $35 million, or $0.75 per diluted share. Adjusted pretax income was $56 million and adjusted EBITDAR was $107 million.
- Raised Full-Year 2026 GuidanceFollowing performance above the company's internal forecast, Republic raised full-year 2026 adjusted EBITDAR guidance to $410 million to $420 million from the previous range of $395 million to $405 million. The company expects adjusted earnings in excess of $3.30 per diluted share for 2026.
- Strong Partner Demand and American Airlines AgreementRepublic reached an agreement to place 5 previously unassigned E170 aircraft into service for American Airlines beginning in early December. The agreement has a 6-year term and provides incremental revenue opportunity into the future, with economics similar to other E170 aircraft operating at American.
- Improved Operational Recovery Through the QuarterAlthough July was historically challenging, with a 92% overall completion factor due to weather and ATC disruptions, conditions improved considerably in August and September. Completion factor recovered to 97.6% by September, and the company said efficient disruption recovery contributed to outperforming its internal third-quarter forecast.
- Strong Controllable Completion PerformanceRepublic achieved a 99.96% controllable completion factor and completed nearly 115,000 flights despite a high number of irregular-operation days and a challenging ATC environment. The company achieved perfect controllable completion on 81 days during the quarter.
- Progress on Mesa IntegrationRepublic advanced integration across operations, regulatory milestones and fleet harmonization. Mesa's operations center moved from Phoenix to Republic's aviation campus in Carmel, Indiana; the FAA accepted the second of five revision cycles; all Mesa maintenance and material control specialists transitioned to Republic; Mesa's system of record migrated to Republic's system; and substantially all Mesa corporate functions transitioned to the aviation campus.
- Fleet Maintenance ImprovementRepublic met its targeted improvements in heavy-check turnaround times, with total turnaround times approximately 40% lower than they were one year ago. The company remains focused on completing fleet harmonization by the end of 2027.
- Balance Sheet DeleveragingUnrestricted cash increased to $290 million at the end of September from $278 million at the end of June. Republic repaid $38 million of debt during the quarter, and net debt declined to $863 million, down $66 million since December 2025. Net leverage decreased to 2.2x from 2.8x one year ago.
- Future Fleet FlexibilityRepublic has 26 Embraer delivery positions scheduled from early 2028 through mid-2030. Management said these positions provide flexibility to support partners' long-term fleet needs and fund future growth.
- Pilot Supply and Expected Partner DemandThe company said pilot attrition normalized to the level expected for 2026 after reduced attrition in the first half, mostly driven by the availability of Spirit pilots following their liquidation. Republic said it is positioned to support expected partner demand in 2027 and has a strong pipeline of pilot supply.
- Continued Investment in People, Product and TechnologyRepublic highlighted continued investments in its people, culture, training infrastructure, premium regional product led by the E175, crew and operations-center technology, and its aviation campus. Management said these investments support reliability, disruption recovery and the integration of Mesa and Republic.
- Expected Block-Hour GrowthManagement expects block-hour production to grow in the low single-digit numbers, in the 3% to 5% range, supported by the 5 additional aircraft and utilization gains from the Mesa fleet.
