Q3 2026 Earnings Call Summary
The call was strongly positive. Management reported substantial improvements in earnings, profitability, net interest margin, operating leverage, deposits, credit metrics, and capital, while providing a clear fourth-quarter earnings outlook and identifying multiple future growth drivers. The main challenges were non-recurring losses, net charge-offs, a decline in tangible book value from securities losses, higher funding-related costs, and economic sensitivity to further rate hikes, but these issues were presented as manageable within the company's broader balance-sheet repositioning.
For the fourth quarter, Banc of California expects pre-tax, pre-provision income of $125 million-$130 million, net interest margin of 3.35%-3.40%, and a tax rate to normalize to around 26%; it expects additional benefits from the securities repositioning and loan sales, including somewhere between 15 basis points or so expansion of yield, somewhere in that range, maybe like 12 to 15 basis point expansion of yield on the AFS securities book. The company expects a year-end CET1 ratio of between 9.80% and 9.90%, anticipates retiring its preferred stock when it is redeemable in September of 2027, and said backfilling the 7.75% preferred with FHLB could provide at least 50% of the benefit, or about $20 million of after-tax income to the common, which is $0.11 or $0.12 or something like that. Average earning assets could increase by several hundred million, the loan-to-deposit ratio is expected to run 85%-92% and probably float up to around 90%, cumulative beta remains around 60%, and payments is expected to contribute to fee income in a way that shows up next year, with $10 million-$12 million of fee income a month currently, $30 million-$36 million a quarter, and a goal of 5% of fee income or even more next year, although no formal target has been set yet.
- Strong Third-Quarter Earnings GrowthThird-quarter earnings per diluted share were $0.46 and pre-tax, pre-provision income was $118.4 million. Compared with the first quarter, before the strategic repositioning, EPS increased 18% and pre-tax, pre-provision income increased 12%. Year-over-year, EPS increased 21% and pre-tax, pre-provision income increased 16%.
- Positive Operating Leverage and Higher ReturnsRevenue increased 6% from a year ago while non-interest expense was essentially unchanged. Return on average tangible common equity reached 11.93%, up over 200 basis points from the first quarter, and the efficiency ratio improved to 59.1% from 67.2% in the second quarter.
- Net Interest Income and Margin ExpansionNet interest income increased 9% from the second quarter to $272.4 million, while net interest margin expanded 21 basis points to 3.34%. The third-quarter exit net interest margin was 3.35%, and fourth-quarter net interest margin guidance was narrowed to 3.35%-3.40%.
- Securities Reinvestment Improved Asset YieldsThe company completed its securities reinvestment during the quarter, deploying proceeds into higher-yielding assets. The available-for-sale securities yield increased 23 basis points to 4.58%, while the total securities yield increased 142 basis points to 4.86%. Management expects an additional benefit from a full quarter of the reinvestment earnings in the fourth quarter, including approximately 12 to 15 basis points of further yield expansion on the AFS securities book.
- Subordinated Debt Redemption Reduced Future Borrowing CostsThe company redeemed $385 million of subordinated debt ahead of a significantly higher contractual reset rate. Management stated that the action increased asset yields and avoided a substantial increase in future borrowing costs, with the full benefit reflected in the third quarter.
- Targeted Loan Sales CompletedThe performing CRE sale closed in the third quarter and the remaining LIHTC Construction sale closed on October 21st. Results were consistent with the marks established in June. The targeted loan sales reduced selected credit exposures and borrower concentrations, created additional capacity for profitable growth, and are expected to support further net interest margin expansion in the fourth quarter.
- Broad-Based Loan ProductionBankers delivered $2.6 billion of loan production and disbursements in the third quarter, contributing to 6% annualized growth in loans held for investment. Production was broad-based across lending categories, and total core loans increased 8%. New loan production was priced at 6.58%, above the existing portfolio yield, while the third-quarter exit loan yield was 5.78%.
- Core Deposit Growth and Lower Brokered FundingPeriod-end core deposits increased approximately $515 million during the quarter, while total broker deposits declined approximately $375 million. Average total deposits grew 8% on an annualized basis, and average core deposits grew 15% annualized versus the second quarter. Over the past two years, the company opened more than 6,000 new non-interest-bearing business deposit accounts representing approximately $1.3 billion in deposits.
- Strong Relationship-Banking OpportunitiesManagement highlighted continued opportunities from the HOA business, private banking, venture banking, life sciences, and technology relationships. The HOA business has approximately $4 billion of deposits at reasonable cost, while the private banking initiative is targeting high-net-worth individuals, family offices, entrepreneurs, and RIAs using existing personnel and capabilities.
- Credit Metrics Improved in Several AreasNon-performing, classified, and delinquent loans held for investment declined during the quarter, with classified loans and delinquencies reaching five-quarter lows. Management stated that the company continues to take a proactive approach to credit management and that multifamily non-performing assets were 0.1% of a roughly $5 billion multifamily book.
- Capital Generation ContinuedThe estimated CET1 ratio increased 45 basis points to 9.70% from 9.25% at June 30, exceeding the anticipated range communicated in the prior quarter. Earnings contributed 28 basis points and a lower regulatory deduction for NOL-related deferred tax assets added 26 basis points. The company expects year-end CET1 of 9.80%-9.90% and anticipates achieving 10% CET1 in the first quarter.
- Fourth-Quarter Earnings Outlook IncreasedManagement continues to expect fourth-quarter pre-tax, pre-provision income of $125 million-$130 million, reflecting additional repositioning benefits and continued business execution. Expected drivers include the full-quarter contribution from securities reinvestment, targeted loan sales, loan repricing, relationship deposit growth, and disciplined expense management.
- Additional Earnings Drivers IdentifiedManagement cited scheduled repricing within the multifamily portfolio, new loan production at yields above the existing portfolio, continued balance-sheet growth, and potential growth in the AFS securities portfolio as opportunities to improve asset returns and earnings. Approximately $33 million of net discounts remain to be recognized over time.
- Potential Preferred Stock Redemption BenefitManagement anticipates retiring the preferred stock when it is redeemable in September 2027. If the 7.75% preferred stock were backfilled with FHLB funding at current rates, management estimated an after-tax cost of approximately $40 million annually and stated that the action could provide at least 50% of that benefit, or approximately $20 million of after-tax income to common shareholders, equivalent to roughly $0.11-$0.12 per share.
- Payments Initiative Offers Future Fee Income GrowthThe payments initiative, covering merchant acquiring and issuing, currently generates approximately $10 million-$12 million of fee income per month, or $30 million-$36 million per quarter. Management expects payments to contribute to fee income growth in 2027 and stated that the company has chosen a partnership model rather than additional investment to support workforce and relationship building.
- Resilient Balance-Sheet StrategyManagement stated that the company has multiple avenues for capital deployment, including loans and securities, and is building a balance sheet intended to perform across a range of economic and interest-rate conditions. The company expects to grow organically, with a targeted loan-to-deposit ratio generally in the 85%-92% range and likely around 90%.
