Q3 2026 Earnings Call Summary
The call was predominantly positive. Management reported record quarterly Adjusted EBITDA margins, strong quarterly cash flow and cash conversion, lower leverage, reaffirmed full-year guidance, raised long-term organic growth expectations, and described expanding opportunities in water treatment, methane monitoring, integrated services, and acquisitions. These positives were tempered by year-over-year and year-to-date revenue declines caused by the normalization of a prior-year environmental event, weaker Measurement and Analysis results, lower year-to-date cash flow and adjusted earnings, a year-to-date GAAP loss, and an ongoing strategic review with no assured outcome.
Onterris said full year 2026 guidance remains unchanged, with the midpoint implying a full year adjusted EBITDA margin of approximately 15.5%, approximately 150 basis points of expansion compared with 2025 and 290 basis points over the last three years; it expects operating cash flow conversion of at least 60% versus its long-term 50% target and year-end leverage of approximately 2.5x, inclusive of recently completed acquisition investments. Through 2030, it expects revenue CAGR of approximately 15% and Adjusted EBITDA CAGR of approximately 25%, assuming average organic revenue growth of approximately 10%, above its historically provided 7%-9% organic growth expectation; management also expects margins to reach “the high teens, low 20% margins” over a three-to-five-year period, not necessarily linear each year. The approximately $14 million of recent acquisitions are expected to have a de minimis impact on 2026 and be very accretive to the 2027-2030 timeframe, while 10% organic growth is a long-term trend, not formal guidance for 2027.
- Record Quarterly Adjusted EBITDA MarginThird quarter Consolidated Adjusted EBITDA was $35.9 million, or 17.7% of revenue, compared with $33.7 million, or 15.0% of revenue, in the prior-year period. Adjusted EBITDA increased $2.2 million and the margin expanded 270 basis points to the highest quarterly level in company history.
- Underlying Revenue Growth Excluding Prior-Year Recovery EventThird quarter revenue was $203 million, down $22 million year-over-year primarily because recovery services revenue normalized after a significant environmental event in 2025. Excluding that event, core consulting and water treatment revenue grew 13% in the quarter. Excluding the event, revenue increased 4% year-to-date.
- Strong Consulting and Treatment ProfitabilityConsulting and Treatment segment Adjusted EBITDA increased to $30.8 million from $29.8 million, while the segment margin expanded to 21.7% from 18.4%. The improvement reflected operating efficiencies, project mix, higher environmental emergency response revenue outside the prior-year event, and the absence of losses from exited renewables and European businesses.
- Net Service Revenue GrowthNet Service Revenue increased to $162.5 million in the third quarter from $160.5 million in the prior-year quarter.
- Improved GAAP Quarterly EarningsIncome from operations increased to $12.3 million from $9.9 million, while net income attributable to common stockholders increased to $9.0 million, or $0.24 per diluted share, from $8.4 million, or $0.21 per diluted share. Adjusted net income increased to $21.3 million from $14.2 million, and adjusted EPS increased to $0.56 from $0.36.
- Full-Year Guidance ReaffirmedManagement reiterated its full-year 2026 financial guidance. At the midpoint, adjusted EBITDA margin is expected to be approximately 15.5%, representing approximately 150 basis points of expansion versus 2025 and 290 basis points over the last three years.
- Strong Cash Conversion and Deleveraging OutlookManagement expects operating cash flow conversion of at least 60% for the full year, above the long-term 50% target. Year-to-date free cash flow was $24.9 million, third-quarter free cash flow was $41.5 million, and leverage declined to 2.9x from 3.2x in the second quarter. Year-end leverage is expected to be approximately 2.5x, inclusive of recent acquisition investments.
- Long-Term Growth Targets RaisedBased on commercial and operational initiatives underway, management expects approximately 15% revenue CAGR and approximately 25% Adjusted EBITDA CAGR through 2030. The outlook assumes average organic revenue growth of approximately 10%, above the historically provided 7%-9% expectation, supported by elevated water treatment growth and continued margin expansion.
- Water Treatment Opportunity Expanding Beyond PFASManagement reported significant opportunities across broader industrial wastewater and municipal drinking water treatment in addition to PFAS solutions. Interest is coming from the waste, pharmaceutical, semiconductor, and other industries experiencing onshoring activity, while clients are also preparing for PFAS-related deadlines expected around 2030.
- Emerging Methane Monitoring OpportunityManagement said proposed EPA methane regulations could expand the use of advanced optical gas imaging technologies at natural gas processing facilities. Onterris described itself as one of North America's leaders in air testing and optical gas imaging, with related software and data capabilities. The company expects the opportunity to become more structurally recurring because its compliance-driven testing business is required on a quarterly, annual, or biannual basis.
- Disciplined Acquisition Program ResumedThe company completed one third-quarter acquisition in its air testing division and two additional acquisitions after quarter end: EcOz Environmental Consultants in Australia and Permian Basin Environmental Lab in Texas. Collectively, the transactions represented approximately $14 million of investment and expand geographic reach, ambient air monitoring, analytical capabilities, and cross-selling opportunities. Management described the acquisitions as strategically and financially accretive and expects the impact to be more meaningful over 2027-2030.
- Rebranding Supporting Integrated Commercial ApproachManagement said the Onterris rebrand has integrated its commercial approach, generated more requests for bundled services, made it easier to extend current client relationships, and contributed to larger and longer-term awards. Clients are increasingly seeing the company as a larger integrated provider.
- Strong Liquidity PositionAs of September 30, 2026, total available liquidity was $192 million, including $20 million of cash and $172 million of revolver availability.
- Share Repurchase ActivityYear-to-date, the company repurchased approximately 1.6 million shares for $30 million, with approximately $10 million of authorized capacity remaining under its $40 million repurchase program, subject to credit agreement covenants.
- Evidence of Market Position and Business ResilienceOnterris was ranked the number five largest global environmental pure-play company by ENR. Management also stated that the business has remained resilient across election cycles since its 2020 IPO, supported by a predominantly private-sector client base and state and local environmental requirements.
- Lower Regulatory Volatility Viewed PositivelyManagement expects recent environmental regulatory volatility to subside and described the potential reduction in volatility following the shift in Washington, D.C. as a net positive. The company said its long-term outlook has not changed because its clients are supported by industrial demand and state and local regulations.
