Transphorm files to sell 3.02M shares of common stock for holders

This filing relates to the possible resale by the selling stockholders, from time to time in one or more offerings, of up to 3.02M shares of common stock, consisting of (i) 500K shares of common stock issued to certain of the selling stockholders on April 3 in a private placement and (ii) 2.52M shares of common stock issuable upon the exercise of warrants issued to the selling stockholders on April 3 in a private placement.
