ShiftPixy prices $5M at-the-market offering at $4.25 per unit

ShiftPixy announced the pricing of its “reasonable best efforts” offering of 1,176,470 units at an offering price of $4.25 per unit, priced at-the-market under Nasdaq rules. Each unit consists of one share of common stock and one common warrant. Each common warrant is immediately exercisable for one share of common stock at an exercise price of $4.25 per share and has a term of five years. Each pre-funded warrant is immediately exercisable for one share of common stock at an exercise price of $0.0001. The pre-funded warrants do not expire until exercised. Gross proceeds from the offering, before deducting the placement agent’s fees and other offering expenses, are expected to be approximately $5 million. A.G.P./Alliance Global Partners is acting as the sole placement agent for the offering.
