LKQ Corp. announces extension of exchange offer

LKQ Corporation has extended the expiration date for its offer to exchange any and all of its outstanding $800 million aggregate principal amount of 5.75% senior notes due 2028 and $600 million aggregate principal amount of 6.25% senior notes due 2033 for equal principal amounts of new issues of each series of such notes registered under the United States Securities Act of 1933. The exchange offer, which was originally scheduled to expire at 5:00 p.m., New York City time, on Friday, October 13, 2023, has been extended until 5:00 p.m., New York City time, on Friday, October 20, 2023, unless further extended. All other terms, provisions and conditions of the exchange offer will remain in full force and effect. A Form S-4 registration statement filed by LKQ with the United States Securities and Exchange Commission regarding the exchange offer was declared effective by the United States Securities and Exchange Commission on September 14, 2023. As of 5:00 p.m., New York City time, on October 13, 2023, approximately $797,264,000.00 in aggregate principal amount of the 2028 original notes and approximately $599,008,000.00 in aggregate principal amount of the original 2033 notes have been tendered and not withdrawn in the exchange offer. The expiration date for the exchange offer is being extended to provide time for remaining outstanding unregistered notes to be exchanged.
