Appreciate receives Nasdaq notice regarding late filing of 10-Q

Appreciate Holdings announced that it received a written notice on August 22, 2023, from the Listing Qualifications Department of The Nasdaq Stock Market, as a result of its failure to file Form 10-Q for the period ended June 30, 2023 in a timely manner. The Notice advised the Company that it was not in compliance with Nasdaq’s continued listing requirements under the Nasdaq Listing Rule 5250(c)(1) because it has not timely filed the Form 10-Q with the Securities and Exchange Commission. As previously reported by the Company in its Form 12b-25 filed with the SEC on April 3, 2023, and in its Form 12b-25 filed with the SEC on May 17, 2023, the Company was unable to file its Form 10-K for the period ended December 31, and Form 10-Q for the period ended March 31, 2023, within the prescribed time period without unreasonable effort or expense.
