At the Annual Meeting of Stockholders of Super Micro Computer, Inc. on January 22, 2024, the stockholders approved the amended and restated 2020 Equity and Incentive Compensation Plan. This Plan allows for various cash and equity-based awards to incentivize employees, directors, and certain consultants, with a total of 8,500,000 shares of common stock designated for these awards. The Plan includes a range of performance measures for award determination and will expire on January 22, 2034, with provisions for amendment by the Board under specific conditions.
