On January 21, 2024, Phunware, Inc. appointed Elliot Han as a Class II director, with his term set to expire at the 2026 annual stockholder meeting. He is expected to serve on the audit, compensation, and nominating and corporate governance committees. His compensation will align with that of other non-employee directors, adjusted for his service start date. Han has no material interests in any transactions that would necessitate disclosure under regulatory guidelines.
