Wayfair Inc. announced an upsized private offering of $800 million in 7.250% senior secured notes due 2029 by its subsidiary, Wayfair LLC, to qualified institutional buyers and non-U.S. persons, with proceeds aimed at repaying existing convertible senior notes and for general corporate purposes. The offering was increased from an initial $700 million and is subject to customary closing conditions, while the notes are not registered under the Securities Act and cannot be offered or sold in the U.S. without registration or an exemption.
