TotalEnergies SE’s Board of Directors has unanimously reaffirmed their decision to maintain a unified governance structure, rejecting a shareholder proposal to separate the roles of Chairman and CEO. The Board emphasizes the effectiveness of its current governance framework, highlighting the Lead Independent Director’s role in facilitating shareholder dialogue. The upcoming Annual General Meeting on May 24, 2024, will exclude the proposed resolution for separating the roles, as well as another proposal for reducing share buyback authorizations, due to insufficient shareholder support.
