Terran Orbital Corp (LLAP) has released an update to notify the public and investors about an entry into a material definitive agreement.
Terran Orbital Corporation reached a pivotal settlement with the Sophis Group, an assembly of investors, on February 4, 2024. The agreement ensures that the group will support the company’s board-recommended director nominees and adhere to the board’s guidance on stockholder matters. Additionally, the Sophis Group is bound by a one-year standstill, restricting them from exceeding 14% ownership, proposing board candidates, or influencing management and governance changes. In exchange, the company will appoint an independent director approved by both the Sophis Group and the company’s board.
