Procore Technologies ( (PCOR) ) has shared an announcement.

On July 27, 2026, Procore Technologies entered into a definitive agreement to acquire DroneDeploy for approximately $845 million in cash, with the transaction expected to close by the end of 2026 subject to customary shareholder and regulatory approvals. Procore also secured a debt financing commitment of up to $700 million via a 364-day senior secured bridge facility from Goldman Sachs Bank USA, though consummation of the merger is not contingent on the availability of this financing.

The deal will make DroneDeploy a wholly owned subsidiary and integrate its reality capture and robotics capabilities into Procore’s construction management platform, forming a next-generation system that combines jobsite imagery with Procore’s AI to generate actionable insights.
