Northrop Grumman Issues $2.5 Billion in Senior Notes

Northrop Grumman (NOC) has released an update to notify the public and investors about an entry into a material definitive agreement.

Northrop Grumman Corporation issued a series of senior notes on January 31, 2024, totaling $2.5 billion with varying interest rates and maturities: $500 million at 4.600% due 2029, $850 million at 4.900% due 2034, and $1.15 billion at 5.200% due 2054. These notes were issued under an existing indenture agreement with The Bank of New York Mellon as trustee and may be redeemed earlier at the Company’s option. The issuance and terms are governed by covenants allowing for liens, sale and leaseback transactions, and certain asset sales, with provisions outlined in supplemental indentures and the original indenture.
