Cedar Fair, L.P. entered into a Merger Agreement with Six Flags Entertainment Corporation, and their respective subsidiaries on November 2, 2023. The SEC has declared the Registration Statement concerning these Mergers effective as of January 31, 2024. This Registration Statement includes a proxy statement/prospectus related to the issuance of HoldCo common stock to Cedar Fair unitholders and Six Flags stockholders as part of the Merger Agreement. A letter regarding this prospectus was sent to Cedar Fair unitholders.
