Bruker Corporation is set to issue CHF 100 million in senior notes to institutional investors in a private offering. These notes, split into two series due in 2036 and 2039, carry low-interest rates of 2.60% and 2.62% respectively. The deal, which hinges on customary closing conditions, is expected to finalize on April 15, 2024, but there’s no guarantee it will proceed. The company and some subsidiaries will unconditionally guarantee these unsecured notes, which can be prepaid under certain conditions. The agreement also imposes financial covenants to maintain the company’s leverage and interest coverage ratios within set limits, with proceeds aimed at funding acquisitions, refinancing debt, and other corporate activities.
