On June 2026, Braskem disclosed that a long-negotiated share transaction involving Novonor, NSP Investimentos and Shine I Fundo de Investimento em Participações had been closed, following the fulfillment of all precedent conditions in a judicial purchase and sale agreement. NSP Investimentos transferred a large block of Braskem common and preferred shares to the Shine I fund in exchange for debentures issued by NSP, shifting control over roughly a third of Braskem’s capital and just over half of its voting shares.

The acquired stake corresponds to about 50.11% of Braskem’s voting capital and 34.32% of its total capital, making Shine I a key shareholder and triggering the effectiveness of a new shareholders’ agreement with Petrobras. As a result of surpassing control thresholds under Brazilian corporate law and Braskem’s bylaws, the fund plans to file for a tender offer to acquire up to all outstanding common and preferred shares, a move that could reshape Braskem’s ownership structure and affect minority investors depending on the terms ultimately approved by regulators.
