Q3 2026 Earnings Call Summary
The call was strongly positive overall. Valero reported substantially higher net income, strong operating income across refining, renewable diesel, and ethanol, record or near-record operating performance, robust cash generation, low net leverage, resilient fuel demand, and favorable Gulf Coast refining fundamentals. The main cautions were market volatility, elevated freight costs, DGD-specific third-quarter disruptions, deferred industry maintenance, lower U.K. home-heating-oil sales, and the potential for crack compression if crude prices rise further.
Valero still expects capital investments attributable to Valero for 2026 to be approximately $2 billion, with approximately $1.7 billion allocated to sustaining the business and the remainder directed toward growth projects; Port Arthur DHT repairs remain on track for completion by year end, with total repair costs still estimated to be approximately $250 million, and a substantial portion of the cost expected to be covered by insurance. For modeling our fourth quarter operations, refining throughput is expected at Gulf Coast at 1.855 to 1.91 million barrels per day, Mid Continent at 440 thousand to 460 thousand barrels per day, West Coast at 100 to 110 thousand barrels per day, and North Atlantic at 480 thousand to 500 thousand barrels per day, with refining cash operating expenses of $4.85 per barrel. Renewable diesel sales volumes are expected to be approximately 25 million gallons, with operating expenses of 53 cents per gallon, including 23 cents per gallon for non cash costs such as depreciation and amortization; ethanol production is expected to be 4.9 million gallons per day, with operating expenses averaging 38 cents per gallon, including 4 cents per gallon for non cash costs such as depreciation and amortization. Fourth-quarter net interest expense should be about $135 million, total depreciation and amortization expense should be approximately $700 million, and G&A expenses for 2026 are expected to be approximately $1.1 billion; the long term $4 billion to $5 billion cash target remains unchanged.
- Strong Third-Quarter Financial PerformanceNet income attributable to Valero stockholders was $6.8 billion, or $23.89 per share, compared with $1.1 billion, or $3.53 per share, in the third quarter of 2025. Adjusted net income was $6.8 billion, or $23.90 per share, compared with $1.1 billion, or $3.66 per share a year earlier.
- Record-Level Refinery OperationsManagement said business teams executed well across all reporting segments and ran the refineries at near-record utilization levels while helping keep the market supplied with transportation fuels. Third-quarter refining throughput averaged 3 million barrels per day, and refining operating income was $8.8 billion versus $1.6 billion in the third quarter of 2025.
- Renewable Diesel Segment ReboundRenewable Diesel reported operating income of $353 million, compared with an operating loss of $28 million in the third quarter of 2025. Sales volumes averaged 3.4 million gallons per day.
- Ethanol Segment Growth and Production RecordThe Ethanol segment reported operating income of $272 million, up from $183 million in the third quarter of 2025. Ethanol production averaged 4.8 million gallons per day, and management said the segment achieved a quarterly production record.
- Strong Cash Generation and LiquidityNet cash provided by operating activities was $6.9 billion, including a $526 million unfavorable working-capital impact and $205 million associated with the other joint-venture membership share of DGD. Excluding those items, adjusted operating cash flow was $7.3 billion. Valero ended the quarter with $9.8 billion of cash and cash equivalents, $8.6 billion of total debt, and $5.3 billion of additional liquidity excluding cash.
- Low-Leverage Balance Sheet and Shareholder ReturnsThe debt-to-capitalization ratio net of cash was 4% as of September 30, 2026. Shareholder cash returns represented a 52% payout ratio for the quarter. Management continued to maintain cash above its long-term $4 billion to $5 billion target range to preserve optionality while honoring shareholder-return commitments.
- Debt Maturities Proactively ManagedValero repaid a $100 million note that matured in July and a $426 million note that matured in September. An additional $146 million maturing later in 2026 is expected to be repaid using proceeds from debt issued in the first quarter during a lower-rate environment.
- St. Charles FCC Optimization Completed Ahead of BenefitsThe $230 million FCC unit optimization project at the St. Charles refinery was completed on schedule and within budget. It increased production of higher-value products, including alkylate and gasoline, and third-quarter EBITDA from the project exceeded the company's forecast even though the project was not fully operational during the quarter.
- Favorable Refining Fundamentals and Gulf Coast PositionManagement described the long-term refining outlook as constructive, supported by low product inventories, limited excess refining capacity, and continued transportation-fuel demand. The U.S. Gulf Coast was described as one of the most advantaged regions globally because of domestic crude production, cost-competitive feedstocks, strategic refinery locations, and commercial flexibility.
- Strong Demand Across Key Fuel MarketsValero's U.S. wholesale gasoline sales were up 4% year over year on a seven-day average basis. Distillate sales were up approximately 2% year over year. Canadian and U.K. gasoline and distillate sales were flat year over year, while management said export demand for gasoline and diesel remained very strong.
- Constructive Fourth-Quarter Refining SetupManagement expects mainly positive fourth-quarter capture-rate factors, including the seasonal uplift from butane blending, an uplift from Arctic diesel in the North Atlantic system, discounted heavy-sour feedstocks, feedstock-optimization opportunities, and positive jet regrades. Fourth-quarter refining throughput is expected at 1.855 to 1.91 million barrels per day on the Gulf Coast, 440 to 460 thousand barrels per day in the Mid-Continent, 100 to 110 thousand barrels per day on the West Coast, and 480 to 500 thousand barrels per day in the North Atlantic.
- 2026 Capital Investment Plan MaintainedValero continues to expect approximately $2 billion of 2026 capital investments, including turnarounds, catalysts, regulatory compliance, joint-venture investments, and the estimated cost to repair the Port Arthur DHT unit. Approximately $1.7 billion is allocated to sustaining the business, with the remainder directed toward growth projects.
- Port Arthur DHT Repair ProgressRepairs to the Port Arthur DHT unit remain on track for completion by year end. Total repair costs are still estimated at approximately $250 million, included in sustaining capital guidance, and management expects a substantial portion of the cost to be covered by insurance. The refinery continues to operate at normal throughput rates.
- Crude Supply and Freight Position Benefit Gulf Coast OperationsManagement said higher freight rates have widened discounts for Gulf Coast crude, including heavy-sour grades, giving the U.S. Gulf Coast some of the cheapest crude costs in the world. The Gulf Coast also has a freight advantage for heavy barrels from Latin America, and Valero's system can flex between different crude grades.
- Record Venezuelan Crude ProcessingValero said Venezuelan crude remained readily available in the Gulf Coast system, competed favorably with other heavy-sour alternatives during the third quarter, and led to a new processing record for Venezuelan barrels in the Valero system.
- DGD Margin and Cash-Flow Outlook Remains PositiveDespite third-quarter volatility in margin capture, management said DGD remains very positive from a margin standpoint and continues to generate positive cash flow. The company is maximizing domestic feedstock from Darling, vegetable-oil runs, and the benefit of the D4 short position expected to continue into 2027.
- Ethanol Capacity and Carbon-Sequestration InitiativesValero is evaluating small, quick-hitting ethanol capacity expansions enabled by the new 45Z tax-credit benefits. The company is also continuing carbon-sequestration projects at several sites, expected to come online between late 2027 and mid-2028, which management said would grow ethanol volumes, lower ethanol carbon intensity, and support exports.
- Disciplined Growth and M&A ApproachValero continues to evaluate growth opportunities focused on feedstock flexibility, crude and product flexibility, product-mix optimization, utilization of existing conversion capacity, and ethanol. Management said it remains interested in Gulf Coast, ethanol, and potentially North Atlantic assets, but will maintain its existing hurdle rates, return metrics, and disciplined capital-allocation framework.
- Commitment to Durable Shareholder ReturnsManagement said dividends and share repurchases remain components of total shareholder return. The dividend is intended to be durable through the cycle, while share repurchases provide a more flexible way to supplement total payouts. Excess cash accumulated above the long-term target is expected over time to be directed toward owners.
