Q3 2026 Earnings Call Summary
The call presented a mixed outlook. Taboola delivered growth in ex-TAC revenue, adjusted EBITDA, gross profit, cash generation, and several strategic initiatives, while maintaining substantial liquidity and expanding its publisher and AI offerings. However, revenue declined 7% year-over-year, advertising impressions and scaled advertiser metrics fell, foreign exchange remained a headwind, and management lowered its full-year and fourth-quarter outlook because of changing consumer behavior and product-transition factors. The positive operating performance and strategic progress were offset by meaningful near-term pressure on the core advertising business.
Taboola lowered full-year ex-TAC guidance to $758 million, representing 6% growth; for the fourth quarter, it expects revenues to be between $477 million and $493 million, gross profit to be between $174 million and $183 million, ex-TAC gross profit to be $204.5 million-$213.5 million, adjusted EBITDA to range from $73.5 million-$82.5 million, and non-GAAP net income to be $53 million-$62 million. For the full-year, it now expects revenues to be between $1.88 billion and $1.9 billion, gross profit to be between $595.5 million and $604.5 million, ex-TAC gross profit to be $754 million-$763 million, adjusted EBITDA to range from $212 million-$221 million, and non-GAAP net income to be $151.5 million-$160.5 million; free cash flow is expected to convert from adjusted EBITDA at a 60%-70% rate this year, FX is expected to remain the headwind in Q4, and the Dianomi acquisition is expected to complete before the end of 2026.
- Ex-TAC Revenue and Adjusted EBITDA GrowthThird-quarter ex-TAC revenue was $189 million, up 7% year-over-year, while adjusted EBITDA was $56 million, up 16% year-over-year.
- Q3 Results In Line With GuidanceManagement stated that third-quarter results were in line with the company's guidance.
- Gross Profit ImprovementEx-TAC gross profit increased 7% year-over-year to $188.8 million, and gross profit increased 10% year-over-year to $152.3 million. Ex-TAC gross profit benefited from higher ad rates as similar demand was spread over less supply, as well as strong growth in Taboola News.
- Adjusted EBITDA Margin and Expense DisciplineAdjusted EBITDA margin was 29.7%. Management said operating cash expenses remained broadly stable, excluding foreign exchange impacts. On a constant-currency basis, adjusted EBITDA would have been approximately $59.8 million, representing a 31.6% margin.
- Positive Cash Generation and LiquidityThird-quarter operating cash flow was $35.6 million and free cash flow was $20.4 million. The company expects free cash flow to convert from adjusted EBITDA at a 60%-70% rate this year.
- Strong Balance SheetTaboola ended the third quarter with a net cash balance of $50.2 million. Cash and cash equivalents were $128.7 million compared with $78.5 million of long-term debt, and the company had approximately $191 million of available liquidity under its $270 million revolving credit facility.
- Share Repurchases and Additional AuthorizationThe company repurchased approximately 7 million shares at an average price of $4.37, for total consideration of $30.3 million. Approximately $90 million remained under the existing authorization, and Taboola received an additional $200 million in authorization for share repurchases.
- New Premium Publisher PartnershipsTaboola signed Fox News, Fox Local, Fox Sports, and Fox Weather, adding premium properties that management said advertisers value. Management also cited a strong pipeline of additional publishers around the world.
- Full Page Monetization ProgressFull Page Monetization is live across 100% of the advertising inventory on NBC News and TODAY.com, with performance described as being on par with what NBC and Taboola expected. Management said the product can monetize display, vertical formats, native, and other inventory, and believes it can increase monetization two to three times per publisher.
- DeeperDive Adoption and DistributionDeeperDive is being used across publishers and OEMs, with management reporting nearly 14 million users in prepared remarks and more than 14 million people interacting with it in the Q&A. More than 100 sites are using DeeperDive, and Motorola has integrated the product. Management described publisher integration as growing very quickly, although the revenue impact remains early for Taboola given its size.
- AI Advertising and Claude IntegrationTaboola said it is showing ads in an LLM conversational layer and is seeing very good results from those ads. Its Claude integration through MCP allows companies and individuals to launch Taboola campaigns using Claude. Spending through the MCP integration was described as millions of dollars, with no investment or promotion from Taboola.
- Dianomi Acquisition OpportunityTaboola proposed acquiring Dianomi, which has a specialized network of hundreds of premium publishers, including Reuters, CNN Business, and The Wall Street Journal, along with blue-chip financial advertisers. Management expects to complete the acquisition before the end of 2026 and cited opportunities in business, finance, and lifestyle verticals.
- Diversification Into Additional Growth AreasTaboola is investing in Taboola News, apps, social commerce, and e-commerce, which management described as areas that are less impacted by AI-related consumer shifts. Management said Taboola News and e-commerce are growing faster than the rest of the business.
- Realize+ AdoptionManagement described Realize+ adoption as significant and said it was one of the fastest-adopted products in the company's release history. More than 1,000 advertisers were reported as using it in the prior quarter, although an updated figure was not provided.
- Internal AI Productivity InitiativeTaboola is undertaking an internal AI initiative led by its president to empower employees to do more for clients and internally, with stated goals of driving productivity and revenue.
