Q3 2026 Earnings Call Summary
The call was strongly positive overall. Management reported record-level leasing activity, meaningful occupancy gains, substantial portfolio realignment progress, lower leverage, significant liquidity, share repurchases, operating cost reductions, and raised full-year guidance. The main challenges were expected negative cash re-leasing spreads, a sequential core FFO decline, lower same-property NOI and interest income, an uneven recovery, higher Treasury rates affecting buyers, and slightly higher leasing concessions. The positive operational and balance-sheet developments significantly outweighed the stated challenges.
Management raised the midpoint of full year core FFO per share guidance by $0.02 to a range of $2.41 to $2.44, increased the same property NOI growth outlook by 75 basis points at the midpoint on both a net effective and cash basis, and raised the average same property occupancy outlook by 40 basis points at the midpoint to 95.9%; it expects cash re-leasing spreads to average in the negative low to mid teens area over the next couple years, assuming market rent is flat throughout the next couple of years, with some upside if rents accelerate, and believes same property occupancy can reach 97% to 98% fully stabilized and total portfolio occupancy can reach 94% to 95% over the next couple of years as long as the market is squarely at their back; Rexford remains on track to reach approximately 3.5 times net debt to EBITDA by year end, with $500 million of dispositions remaining and the majority expected to be under contract or complete by year end.
- Strong Leasing Volume and Occupancy GrowthRexford executed more than 3.7 million square feet of leasing in the third quarter, its second-highest quarter ever. Approximately 87% of expiring space was renewed or backfilled, driving a 200 basis point sequential increase in same-property occupancy.
- Repositioning and Development Leasing ContributionApproximately 600,000 square feet of repositioning and development space was leased during the quarter. These leases are expected to contribute more than $14 million of annualized NOI once commenced.
- Improving Southern California Market FundamentalsThe infill Southern California industrial market recorded its second consecutive quarter of positive net absorption, driven by rising tenant demand. Market rents posted marginal quarterly growth, marking the first quarterly increase since 2023.
- Broad-Based Tenant DemandLeasing activity was led by light manufacturing and advanced manufacturing, which each represented about one-third of leasing activity when combined with logistics, distribution, and warehouse demand. The remaining activity was diversified across construction and building materials, apparel, food and beverage, health care, and entertainment.
- Strength in Key Submarkets and Product TypesOrange County returned to positive net absorption, supported by growing Class A demand and increased corporate-user activity. Functional Class B product continued to lease well in Mid-Counties, the San Gabriel Valley, and the San Fernando Valley, while Class A demand gained traction. South Bay activity was supported by logistics, advanced manufacturing, and aerospace users.
- Portfolio Realignment ProgressRexford completed a $1.2 billion portfolio sale during the quarter, the largest transaction in company history, and completed $1.5 billion of dispositions year to date toward its $2 billion portfolio realignment initiative. Approximately $500 million of dispositions remain, with the majority expected to be under contract or complete by year end.
- Attractive Disposition PricingManagement said demand and pricing for the remaining disposition assets continue to meet expectations. Pricing for the remaining assets is expected to be roughly in line with the $1.2 billion transaction, which achieved 2027 cash NOI yields in the 5.5% area.
- Leverage Reduction and Debt RepaymentLeverage declined by three-quarters of a turn to 3.8 times. Rexford has repaid $425 million of its $1 billion of 2027 maturities and plans to repay the remaining $575 million at maturity in March, avoiding refinancing the debt at today's rates of roughly 6.25%.
- Share RepurchasesRexford bought back $79 million of stock during the year, including $49 million during and after the third quarter. Since the second quarter of last year, the company has bought back nearly $1 billion of stock, representing about 10% of shares outstanding.
- Improved Liquidity and Balance Sheet FlexibilityRexford ended the quarter with $1.7 billion of liquidity and remains on track to reach approximately 3.5 times net debt to EBITDA by year end. Management said the company has more financial flexibility and capacity to act than it had at the beginning of the year.
- Higher Full-Year Core FFO GuidanceThe company raised the midpoint of full-year core FFO per share guidance by $0.02 to a range of $2.41 to $2.44, driven by better-than-expected leasing activity and lower full-year bad debt than previously assumed.
- Raised Same-Property OutlookThe same-property NOI growth outlook was increased by 75 basis points at the midpoint on both a net effective and cash basis. The average same-property occupancy outlook was also raised by 40 basis points at the midpoint to 95.9%.
- Cost Efficiency ImprovementsStrong leasing activity was accompanied by a 30% year-over-year reduction in general and administrative expense.
- Positive Outlook for OccupancyManagement believes same-property occupancy can reach 97% to 98% on a fully stabilized basis over the next couple of years, while total portfolio occupancy can reach 94% to 95% if market conditions remain supportive.
- Embedded NOI and Development PipelineThe company has approximately $40 million of NOI tied to assets in lease-up and under construction. The Hertz development is expected to start next month, and management said sustained tenant activity continued in the fourth quarter across remaining repositioning and development projects.
- High-Yielding Internal OpportunitiesManagement plans to continue executing high-yielding internal repositionings and developments. A repositioning project in Salt Lake was stabilized at a 13.8% yield, and a South Bay project achieved a prelease at a rent above underwriting.
- Disciplined Capital AllocationManagement said capital allocation decisions are being measured against per-share shareholder value creation. Current priorities include debt reduction, share repurchases when the stock trades below intrinsic value, and high-yielding internal repositioning and development opportunities.
- Acquisition DisciplineAcquisitions remain part of Rexford's long-term value creation strategy, but management said other uses of capital are currently more compelling. The company will consider acquisitions when the real estate aligns with its strategy and the expected return is superior to alternatives.
