Q3 2026 Earnings Call Summary

Q3 2026
Earnings Call Date:Oct 29, 2026|% Change Since:-4.21%|
Earnings Call Sentiment|Positive

The call was broadly positive. Management highlighted cash rental revenue above the $1 billion target, strong performance across several European and U.S. operators, substantial asset monetization gains, and meaningful progress on debt refinancing and balance sheet flexibility. These positives outweighed challenges involving HSA's rent nonpayment and revenue cycle management, the 18% Priory rent reduction caused by NHS budget constraints, Colombia-related impairments, and the remaining uncompleted 2027 refinancing steps.

Company Guidance

Management projected annualized cash rental revenue of at least $1 billion by the end of this year and continues to expect portfolio cash rents above $1 billion for 2027; NOR is currently paying 50% of contractual rent as scheduled and will begin paying 100% contractual rent in December. Priory’s annual rental obligations were reduced by approximately 18%, with rents able to increase as patient volumes recover, and MPT can extend the lease to 2055 at its discretion; the foregone rent starts at GBP 11 million that escalates. MPT expects to complete a new multiyear revolver in coming weeks, purposefully downsize the current revolver commitment of about $1.3 billion, and have no maturities until June 2028 when about $600 million of sterling bonds are due; further headroom is expected to be created up to 225%.

  • Annualized Cash Rental Revenue Exceeds $1 Billion TargetMPT has collected more than $750 million of cash revenue year-to-date, which annualizes to more than the at least $1 billion target projected for year-end 2026. This was achieved despite selling 9 properties for approximately $600 million in cash proceeds, and the company continues to expect portfolio cash rents above $1 billion in 2027.
  • Diversified Global PortfolioManagement said the portfolio includes more than 50 operators around the world and is positioned to continue servicing increased global demand for health care services. The company described portfolio diversity as a key strength, with post-acute care momentum, stable general acute performance, and early signs of stabilization in behavioral health.
  • HSA Operational Improvement and New Management SupportHSA hospital operations were described as strong, with overall volumes up 14% since September, surgeries up 33%, and cash collections up 24% since August. HSA entered an agreement with Miami's largest HMO to become its preferred hospital network, while residency programs in Houston and Hialeah are expected to increase patient volumes and CMS reimbursement. Ovation Healthcare, which manages more than 500 hospitals, has taken over operations with an immediate focus on revenue cycle management.
  • Strong European Portfolio PerformanceMEDIAN delivered another quarter of solid performance driven by strong occupancy in orthopedics, psychosomatics, and addiction treatment, along with prudent cost management. Circle Health reported increased revenue, consistent volumes, and robust margins. Swiss Medical Network reported increasing hospital revenue year-over-year and coverage surpassing 2x, driven by integrated care networks and cost containment initiatives.
  • IMED Volume Growth and Capacity ExpansionIMED's surgeries increased more than 11% year-over-year, led by a nearly 40% increase at IMED Colon in Valencia. Management said IMED Colon is reaching stabilization in its third year of operations, and new hospitals in Alicante and Barcelona are expected to expand capacity in Spanish markets in the coming months.
  • Solid U.S. Post-Acute and NOR CoverageErnest Health maintained consistent coverage of 2.5x. NOR reported strong earnings, year-over-year volume growth, and coverage of 2.4x on full contractual rent. NOR is currently paying 50% of contractual rent as scheduled with all payments current and is expected to begin paying 100% of contractual rent in December.
  • Normalized FFO In Line with ExpectationsNormalized FFO was $0.11 per share for the third quarter of 2026, in line with expectations except for the nonpayment of September rent from HSA.
  • Debt Refinancing Captures $123 Million DiscountMPT completed a $2.4 billion secured debt refinancing transaction in August, including the redemption of EUR 500 million of notes, the redemption of approximately $735 million of notes due next October, and the exchange of approximately $1 billion of longer-dated notes. The transactions captured approximately $123 million in net discount, including a $70 million gain recognized during the quarter.
  • Expected Debt Maturity Extension and Covenant FlexibilityMPT expects its new multiyear revolver to eliminate the secured leverage financial covenant and provide additional headroom under the fixed charge coverage and total leverage covenants. Management expects the refinancing steps to result in no maturities until June 2028, when approximately $600 million of sterling bonds are due, without factoring in cash on hand as of September 30.
  • Asset Monetization and Balance Sheet Value CreationMPT received approximately $600 million from third-quarter asset sales, including approximately $140 million from Infracore, $170 million from the sale of a minority interest in a U.S. joint venture, and $370 million from the sale of two Idaho facilities. The U.S. portfolios sold at sub-7% cap rates, and the transactions generated $158 million of gains during the quarter.
  • Long-Term Real Estate Value AppreciationSince 2022, MPT has sold hospital real estate acquired for approximately $5.6 billion for aggregate proceeds of more than $6.8 billion. It has also collateralized approximately $3.9 billion of assets at underwritten valuations above original investments; together, these transactions represented approximately a 23% increase over original undepreciated book values.
  • Unencumbered Asset and Financing HeadroomAs of September 30, MPT's unencumbered assets to unsecured debt ratio was more than 180%, above the 150% covenant level. Management expects the ratio could increase to as much as 225% after completing step 2 of the refinancing process and could increase further through additional transactions under consideration.
  • Lower Year-Over-Year G&A ExpenseGeneral and administrative expense was lower year-over-year, primarily due to lower stock compensation expense resulting from changes in the fair market value of certain cash-settled stock awards.
  • Priory Lease Extension and Recovery ParticipationAs part of the Priory agreement, MPT received significantly enhanced financial credit with Priory's parent company, obtained the ability to extend the lease at its discretion to 2055, and retained the opportunity to recover some or all of the foregone rent as revenue recovers. Management said Priory revenue and operations were already improving.
  • Hospital Development and Capital Projects ContinuingThe NOR development budget is primarily related to a new emergency department at the largest hospital in the portfolio, along with continued seismic work. HSA projects primarily involve elevators, boilers, chillers, roofs, and replacement of a parking garage at Hialeah. Management said the NOR emergency department project, which had been sidelined during Prospect's bankruptcy, is back in full speed.
