Q3 2026 Earnings Call Summary

Q3 2026
Earnings Call Date:Oct 27, 2026|% Change Since:―|
Earnings Call Sentiment|Positive

The call was strongly constructive. Highlights included accelerating occupancy, strong leasing spreads, constrained office supply, raised FFO guidance, substantial disposition progress, improving leverage, ample liquidity, and positive development and renewal opportunities. The main challenges were elevated leasing CapEx, cash flow below normalized levels, slower acquisition activity, higher interest rates delaying transactions, and the delayed contribution from development. Management nevertheless expressed confidence in improving cash flow, occupancy, and long-term FFO growth.

Company Guidance

Highwoods updated its 2026 FFO outlook to $3.51-$3.70 per share, including the possibility of $0.14 per share of land sale gains at the high end and none at the low end; excluding all land sale gains, the midpoint implies FFO of more than $0.90 per share for the fourth quarter. The company expects to sell an additional $100 million-$250 million of non-core assets by the end of the year, include $100 million-$400 million of new development announcements for the remainder of the year, and stabilize 23 Springs by the second quarter of next year. Year-end occupancy is expected at 87.0%-88.0%, with the midpoint remaining 87.5%, while new leasing volumes are expected to moderate; achieving occupancy of around 88.5% by the end of next year would require around 250 a quarter, give or take. Normalized leasing CapEx is expected to moderate into the low $100 million range, probably $110 million, $115 million, maybe $120 million, with 2027 an okay year from a cash flow perspective and normalized levels more likely in 2028 and thereafter. Debt to EBITDA is expected to be modestly lower at year-end and continue to decline throughout 2027, assuming otherwise leverage-neutral investment activities, and same-property NOI growth next year on a cash basis, probably in all likelihood, on a GAAP basis, is expected to be above trend levels.

  • Strong Leasing Economics and Occupancy GainsThe company posted GAAP rent growth of 29% and cash rent growth of 4% on more than 1.2 million square feet of second-generation leases, achieving the second-highest second-generation net effective rents in company history. Portfolio occupancy increased 130 basis points from the end of the second quarter, while the lease rate reached 90.1%, up 50 basis points sequentially.
  • Raised Full-Year FFO OutlookThird-quarter FFO was $0.89 per share, and the 2026 FFO outlook was increased to $3.51-$3.70 per share. The midpoint increased by $0.025 from the prior outlook and by $0.065 from the beginning of the year, despite $0.04 of higher-than-anticipated dilution from increased disposition activity. Excluding land sale gains already recorded, the midpoint increased by $0.045.
  • Portfolio Recycling Exceeded Original TargetThe company sold $85 million of non-core properties during the quarter and $386 million year to date at an average cap rate below 8%, approximately $150 million above its original full-year target. The company expects to close an additional $100 million-$250 million of non-core asset sales by year-end and plans to redeploy proceeds into higher-quality, more resilient investments.
  • Improving Portfolio Quality and Long-Term Growth PositionHighwoods is recycling out of older, CapEx-intensive properties in non-BBD locations and investing in commute-worthy office buildings in stronger Southeast markets. Management stated that this strategy is expected to improve the portfolio's BBD mix, long-term FFO growth rates, and cash-flow growth rates.
  • Strong Development Pipeline ProgressThe 642,000-square-foot 23 Springs office tower in Dallas is 95% leased and projected to stabilize by the second quarter of next year. The company included $100 million-$400 million of new development announcements in its outlook for the remainder of the year and is evaluating build-to-suit and sizable anchor opportunities.
  • Development Yields Attractive Relative to Acquisition Cap RatesManagement stated that development yields are far in excess of acquisition cap rates, and that strong demand is providing conviction in achieving underwritten yields. Build-to-suit projects are generally structured as open-book contracts, which management said limits interest-rate risk on those projects.
  • Charlotte Market MomentumCharlotte recorded a fourth consecutive quarter of positive net absorption, with 456,000 square feet absorbed. Prime vacancy declined more than 650 basis points year over year to 7.7%, asking rents increased nearly 20%, and Highwoods achieved GAAP rent roll-ups of 77% and cash rent roll-ups of 19% in its Uptown and SouthPark portfolio.
  • Dallas Demand and Rent GrowthDallas recorded more than 1 million square feet of positive net absorption in the third quarter. Preston Center had the lowest vacancy in Dallas-Fort Worth at 5.2%, while average asking rents in Preston Center and Uptown were above $60 per square foot triple net. Management also said recent leasing at 600 Tryon was completed at more than 10% above underwriting.
  • Nashville Leasing Volume and Occupancy RecoveryNashville led the company's leasing activity, with 455,000 square feet signed across 24 deals during the quarter, including 111,000 square feet of new leasing. Year to date, the Nashville team signed nearly 1 million square feet, including more than 360,000 square feet across 41 new deals. Westwood South in Brentwood increased from 0% leased at the beginning of the year to 88% leased.
  • Nashville Supply Constraints and Rent GrowthNashville's active development pipeline declined from 450,000 square feet in the prior quarter to 60,000 square feet, while prime asking rents increased nearly 8% in a single quarter to $62 per square foot.
  • Atlanta and Raleigh Leasing PerformanceIn Atlanta, the company signed 111,000 square feet across 12 deals, with cash rent roll-ups of 10% and GAAP rent roll-ups of 25%. In Raleigh, it signed 105,000 square feet across 15 deals, with GAAP rents up 15% and net effective rents above the portfolio average.
  • Positive National Office Market FundamentalsManagement cited national office data showing a 10th consecutive quarter of positive net absorption, vacancy declining for a fifth straight quarter to 18.2%, and national asking rents growing 3.1% year over year. The 2026 delivery pipeline is projected to decline 76% year over year, while more than 45 million square feet has been removed from service since late 2023.
  • Healthy Lease Backlog and Retention OutlookThe company has approximately 800,000 square feet of signed but not yet commenced leases. Management expects the lease-to-occupied spread to narrow over time and cited approximately 50% retention for remaining expirations over the next five quarters, which is higher than historical levels.
  • Strong Balance Sheet and LiquidityDebt to EBITDA improved from 6.7x at the beginning of the year to 6.1x in the third quarter. The company had nearly $280 million of cash on hand and no borrowings on its $750 million revolving credit facility. Management expects debt to EBITDA to be modestly lower at year-end and to continue declining throughout 2027, assuming leverage-neutral investment activity.
  • Successful Joint Venture FinancingsHighwoods closed a $56 million secured mortgage at the 50/50 Midtown East joint venture, repatriating more than $44 million to Highwoods. It also closed a $370 million secured mortgage at the 50/50 23 Springs joint venture, refinancing an existing construction loan and repatriating an additional $55 million.
  • Manageable Debt Maturity ProfileThe only debt maturity between the third quarter and the first quarter of 2028 is the March 2027 bond, which has a remaining balance of $286 million. The bond can be repaid at par beginning December 1, and management does not anticipate needing to raise capital to address the maturity.
  • Additional Equity Financing CapacityThe company agreed to sell 1,056,000 shares on a forward basis through its ATM program at an average gross price of $32.24 per share for total net proceeds of $33.5 million. The forward sale agreements had not yet been settled, and management expects to use the proceeds as it deploys capital into future investments.
  • Improving Mark-to-Market OpportunityPortfolio cash mark-to-market was approximately positive 7%, compared with roughly flat a year ago. Market rents across the portfolio were approximately 10% higher year over year, while in-place annual escalators were approximately 3%. Management also said longer lease terms, annual bumps, and lower free rent are supporting GAAP rent spreads.
  • Early Renewal and Expansion DemandLarge customers are approaching the company three to five years before expiration, compared with approximately two years previously, because they want to secure space amid limited future supply. Management is also seeing customers renew early while expanding their footprints.
  • Planned Acquisition of Bloc83Management said exercising the option to acquire additional interest in Bloc83 is expected to happen, with timing dependent on disposition proceeds and development opportunities. Highwoods currently owns 10% of the asset and has an option to acquire up to 50%.
