Q3 2026 Earnings Call Summary
The call was strongly constructive, supported by construction remaining on budget and ahead of schedule, higher-than-base-case implied LNG margins, projected distributable cash flow of over $2.4 billion, successful debt refinancing, strong LNG demand, and progress toward Train 6 and later expansions. The main challenges were that first LNG is still pending, substantial ramp-up volumes remain uncontracted, Train 6 financing and permitting are not finalized, and project cash flows are subject to financing restrictions and startup-market uncertainty. Highlights significantly outweighed the lowlights.
NextDecade narrowed first LNG production from Train 1 to the second quarter of 2027, expects first gas into the facility in the fourth quarter of this year, and expects Train 1 substantial completion in the third quarter of 2027, one quarter ahead of its guaranteed schedule; Trains 1 and 2 were nearly 80% complete, Train 3 was more than 55% complete, Train 4 was 22.5% complete, and Train 5 was 14% complete as of September 2026. Based on current forward LNG and U.S. gas prices, volume-weighted average implied margins are estimated to average over $6 per MMBtu, more than $1 per MMBtu above base case guidance, with NextDecade’s share of project-level distributable cash flow totaling over $2.4 billion, or over 20% above the projected $2 billion; each $1 per MMBtu change would change projected cash flow by approximately $350 million-$400 million. The base case assumes $5 per MMBtu margins, a NextDecade-level debt target of $2 billion-$2.25 billion, and approximately $2 billion of cumulative cash flow, while the downside steady-state guidance case assumes $3 per MMBtu margins and approximately 2 million tons per annum of additional contracted capacity. Train 6 FID is targeted for the second half of next year, with more than Train 5’s 75%, likely less than phase IV’s 90% contracted.
- Rio Grande LNG Construction Remains Ahead of SchedulePhase I construction remains safe, on budget, and ahead of schedule. The company remains on schedule to introduce hydrocarbons into the facility before year-end. First LNG production from Train 1 is now guided for the second quarter of 2027, while Train 1 substantial completion is expected in the third quarter of 2027, one quarter ahead of its guaranteed schedule.
- Trains 2 and 3 Continue to Progress Ahead of ScheduleTrains 2 and 3 remain ahead of schedule and aligned with early volume guidance. Train 2's main cryogenic heat exchanger was installed, and Train 3's first compressor string was set. Both trains are expected to achieve substantial completion about one quarter ahead of their guaranteed schedules.
- Strong Construction Completion MetricsAs of September 2026, Trains 1 and 2 were nearly 80% complete, with engineering and procurement nearly finished, construction almost 70% complete, and commissioning approaching 5%. Train 3 was more than 55% complete, with engineering nearly finished, procurement above 90%, and construction approaching 25%. Train 4 was 22.5% complete and Train 5 was 14% complete.
- Commissioning and Site Infrastructure ProgressElectrical, mechanical, and utility commissioning advanced on Train 1. The gas inlet facilities are ready for startup, the Bay Runner Pipeline entered service during the third quarter, and site-wide dredging for the berth, turning basin, and channel deepening is complete. Commissioning of systems is underway to support initial hydrocarbon introduction before year-end.
- Additional Construction Milestones Across the SiteTrain 2 compressor-string installation and pre-alignment were completed; foundation pours began for Train 4's main cryogenic rack; excavation began for Train 4's refrigeration area; soil stabilization began for Train 5; Tank 1 completed intertank nickel plate welding and its first hydrotest; and piling advanced for Tank 3 and began for Tank 4.
- Large Local Workforce Supporting DevelopmentMore than 7,000 workers are now on site each day, with over 70% of them local residents. More than 100 operations personnel seconded to Bechtel are working alongside its team and will remain through commissioning and startup.
- Higher Implied LNG Margins and Cash Flow OutlookBased on current forward LNG and U.S. gas prices, volume-weighted average implied margins on projected uncontracted volumes from Train 1 startup in 2027 through first commercial delivery under the Train 5 long-term SPAs, including the 175 TBtu sold forward in the first quarter, are estimated to average over $6 per MMBtu. This is more than $1 per MMBtu above the base case guidance.
- Projected Cash Flow More Than 20% Above Base CaseUsing the estimated implied margins, NextDecade's share of Rio Grande LNG project-level distributable cash flow during the ramp-up period would total over $2.4 billion, or over 20% above the projected $2 billion in the base case. Each $1 per MMBtu change in the estimated volume-weighted average implied margin would change projected distributable cash flow by approximately $350 million-$400 million over the forecast period.
- Successful Project-Level Debt RefinancingDuring the third quarter, Rio Grande LNG issued approximately $4.1 billion of senior secured notes. NextDecade has now refinanced over $7 billion, or 60%, of the $11.1 billion of initial capacity under the Phase I bank facilities, leaving approximately $700 million of drawn balances as of September 30.
- Strong Demand for Rio Grande LNG Project CreditThe July $3.5 billion 144A senior secured notes offering was rated BBB- by S&P and Fitch, had maturities ranging from 2031-2041, and fixed rates ranging from 5.15%-6.15%. The offering was 4x oversubscribed and priced at the tight end of the expected range. A further $575 million of senior secured notes was issued in September at a 6.72% interest rate.
- Debt Reduction and Financing FlexibilityA $109 million settlement received from unwinding a portion of interest-rate swaps was used to further reduce Phase I bank borrowings. The company said refinancing has released committed bank capacity for Train 6 and subsequent expansions, while it continues to pursue refinancing of remaining Phase I balances and project-level debt for Trains 4 and 5.
- Strong Long-Term LNG Demand and Supply-Security InterestManagement reported that demand for long-term LNG from Rio Grande LNG remains strong across a global customer base. Since the Iran conflict began in February, the global LNG market has tightened significantly, forward prices for 2026, 2027, and beyond have risen, and potential buyers have placed greater emphasis on energy security and supply diversification.
- Positive Regulatory Progress for Train 6FERC approved the uprate request for Trains 1 through 5, increasing authorized LNG exports to 30.15 million tons per annum, consistent with expected annual five-train production. The U.S. Army Corps of Engineers also authorized a key Train 6 construction permit in September, which management described as occurring in record time.
- Train 6 Commercial and Development PlansNextDecade is advancing discussions with multiple high-credit-quality counterparties for long-term Train 6 LNG offtake and expects to secure sufficient commercial support to enable a positive final investment decision in the second half of 2027. Management expects Train 6 returns to be at least as strong as those for Trains 4 and 5 under current market conditions.
- Train 6 Financing Structure Under DevelopmentThe company expects to contract a large portion of Train 6 capacity through long-term SPAs, described as more than Train 5's 75% and likely less than Phase IV's 90%, to maximize project-level non-recourse debt. It also expects to use FinCo debt, with the remaining requirement funded through some form of equity or convertible instrument, and may consider a strategic joint venture while retaining a majority interest.
- Train 7 and Train 8 Expansion AdvancingNextDecade selected the western end of the Rio Grande LNG site for Trains 7 and 8 and expects to pre-file with FERC before year-end. Trains 7 and 8 will be developed as one project, roughly one year behind Train 6 in permitting and development, with the eastern side reserved for potential Trains 9 and 10.
- Strong Long-Term Contracting EconomicsManagement said long-term LNG contract pricing has remained strong since Trains 4 and 5 were contracted, with current outcomes for Train 6, 7, and 8 expected to support healthy returns. Standard LNG contract tenor is coalescing around 20 years, although some customers are seeking 10-15-year contracts.
- Debottlenecking Opportunities Under ReviewNextDecade has had a team focused on facility optimizations and plans to identify and address bottlenecks from day one after operations are turned over. The company expects to prioritize opportunities from lowest cost to highest cost and may include qualifying capital investments in the construction of Trains 4, 5, and 6.
- Improved Steady-State Leverage OutlookUsing the base case of $5 per MMBtu margins on uncontracted cargoes, NextDecade expects approximately $2 billion of cumulative project-level distributable cash flow during the ramp-up period, which would reduce NextDecade-level debt to the target range of $2 billion-$2.25 billion at steady-state operations. Under current forward-curve margins of over $6 per MMBtu, projected cash flow would be over $2.4 billion, generating cash flow in excess of what is needed to achieve the target debt range.
