Q3 2026 Earnings Call Summary
The call was predominantly positive. Virtu reported strong quarterly profitability, all-time-high trailing-twelve-month metrics, resilient Market Making performance despite lower market activity, substantial capital growth, and continued investment in people and technology. The main negatives were the sequential moderation in volumes and volatility, a wider P&L distribution than in the IPO era, unmet hiring goals, higher expenses, and technology-related supply constraints.
Management said its near-term capital goal is “around $4 billion plus,” with no need for asset sales to reach its “long-term goal -- medium-term goal”; it will continue to organically grow the capital base and opportunistically supplement debt capitalization while maintaining the quarterly dividend at $0.24 per share. Hiring is expected to continue into the next year with “no change,” with “quite a few unmet hiring goals,” the workforce “just below 1,100 people” and expected to be “over 1,100 in the near term,” while “medium term” is defined as “utmost a year”; the cash compensation ratio is expected to remain at 23% and the total compensation ratio at 28%, levels management said would be “appropriate in the near term.” Management also said it will continue spending a “significant fraction of dollars on technology,” investing incrementally more in its physical capital base, compute, power and storage, but does not feel a need to do anything beyond what it has “telegraphed.”
- Strong Quarterly Trading ResultsThird-quarter adjusted net trading income was $11 million per day, or $704 million in total, with Market Making contributing $9 million per day and Execution Services contributing $2 million per day.
- Strong Profitability and Record Trailing-Twelve-Month MetricsAdjusted EBITDA was $438 million per day with a 62% margin, and adjusted EPS was $1.77. Over the last 12 months, adjusted net trading income was $11.3 million per day, adjusted EBITDA was $1.8 billion, and adjusted EPS was $7.69; all were described as all-time highs for Virtu on a trailing-12-month basis.
- Market Making Outperformed a Weaker U.S. Equity BackdropMarket Making adjusted net trading income declined only about 4% sequentially to approximately $9 million per day, while U.S. equity volumes declined mid-teens and realized volatility declined more than 20%. Management attributed the resilience to activity in offshore equity perpetuals, crypto, and AI and chip stocks across multiple countries, reflecting broader diversification beyond U.S. equity wholesaling.
- Trading Capital ExpansionVirtu raised $500 million of new debt at the beginning of the quarter, bringing its overall trading capital base and invested capital to $3.4 billion as of September 30. Management said approximately $900 million of trading capital had been accumulated during the year, around half organically and half through additional debt.
- Capital Deployed With Adequate BuffersManagement said most of the new capital was deployed right away while maintaining internal, trading, usage, and regulatory buffers. The capital raise largely ended the need to use contingent liquidity such as revolvers in the ordinary course.
- Continued Capital Growth and Shareholder ReturnsVirtu plans to continue growing its capital base organically and deploy capital where it sees the greatest opportunities. Management maintained its near-term capital goal of around $4 billion plus and continued the quarterly dividend at $0.24 per share.
- Modest Leverage and Controlled Compensation RatiosTrailing debt-to-EBITDA was 1.4x, which management characterized as modest leverage. The third-quarter and year-to-date cash compensation ratios were both 23%, while the year-to-date total compensation ratio was 28%; management said these levels were appropriate for the near term.
- Execution Services Strategic StrengthVirtu Execution Services was described as a strategic business that has performed exceptionally well, serves 1,400 blue-chip clients globally, and has more than doubled the margins ITG had before Virtu acquired it. Management said the business has best-in-class positioning among peers and differentiated technology supporting its products.
- Hiring and Human Capital ExpansionHiring was continuing according to plan, turnover remained low, and the company was adding to its trading, research, and development teams while maintaining a high bar for quality and preserving its open, collaborative culture. The company was just below 1,100 employees and expected to exceed 1,100 in the near term.
- Continued Technology and Infrastructure InvestmentVirtu is continuing to invest in physical infrastructure, including compute, power, storage, and other technology resources. Management said it continues to spend a significant fraction of dollars on technology and is incrementally investing more as it grows its physical capital base.
- Risk-Adjusted Trading Profile Remains FavorableManagement said that although the width of the P&L distribution has increased meaningfully since the IPO because of newer businesses such as retail wholesaling and ETF block trading, the mean of the distribution has also increased substantially. Bouncing off zero remains rare, although not zero, and the set of holding times across trading strategies has not changed meaningfully in the last year.
