Rocket Lab files to delay 10-K release

In a regulatory filing, Rocket Lab stated: "Rocket Lab USA is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the fiscal year ended December 31, 2022 within the prescribed time period for the reasons set forth below. The Company became a large accelerated filer for the first time at the end of the fiscal year ended December 31, 2022, which resulted in a significantly shortened filing deadline to file its 2022 Form 10-K of 60 days compared to 90 days when the Company was a smaller reporting company and emerging growth company at the end of its prior fiscal year. Additionally, commencing with its 2022 Form 10-K, the Company is now for the first time subject to the requirements of Section 404(b)of the Sarbanes-Oxley Act of 2002. For the foregoing reason, the Company requires additional time to complete the procedures relating to its year-end reporting process, including finalizing those disclosures and conclusions required by Section 404(b)of the SOX Act, and procedures and conclusions relating to management’s assessment of the effectiveness of internal controls. The Registrant is working diligently to complete the necessary procedures, and expects to file the 2022 Form 10-K within the extension period provided under Rule 12b-25 under the Securities Exchange Act of 1934, as amended."
