RBC Capital downgraded CyberArk (CYBR) to Sector Perform from Outperform with a price target of $448, up from $420, after the company announced it is being acquired by Palo Alto (PANW) in a cash-and-stock transaction valued at $25B. With both boards approving the deal and given the size of the transaction, RBC does not anticipate another bidder.
