The company states: “Beam Global is unable to timely file with the Securities and Exchange Commission its Annual Report on Form 10-K for the fiscal year ended December 31, 2023, because the compilation, dissemination, review and finalization of the information required to be presented in the report could not be completed within the prescribed time period without unreasonable effort or expense for the following reasons: As previously disclosed, the Company consummated a strategic acquisition of a company based in Serbia on October 20, 2023. Because the acquisition closed near the end of 2023, the Company requires additional time and effort to perform purchase price allocation related work before finalizing the acquisition related accounting.”
