Upon closing of the repurchase, Nathan Sleeper, Clayton, Dubilier & Rice CEO and one of its representatives on the company’s board of directors, will resign from the company’s board; and Philip Knisely, an operating Partner of CD&R and a CD&R representative on the company’s board, will remain on the company’s board but will step down as the company’s non-executive board chair. Stuart Randle, the company’s lead independent director, will be named non-executive board chair following the closing of the repurchase.
