At the Annual Meeting, stockholders voted on and approved four proposals: the election of Judy Lin, Sara Liu, and Yih-Shyan (Wally) Liaw as Class II directors until the post-fiscal year 2026 meeting or until successors are chosen; a non-binding advisory resolution on executive officer compensation; the ratification of Ernst & Young LLP as the independent registered public accounting firm for the fiscal year ending June 30, 2024; and the amendment and restatement of the 2020 Equity and Incentive Compensation Plan. All proposals received a majority of votes in favor, with varying numbers of votes withheld or against and broker non-votes recorded for each.
