OpenAI has reached a nonbinding agreement with Microsoft to transition its for-profit arm into a public benefit corporation (PBC), potentially paving the way for the company to raise additional capital and eventually go public. This strategic move, pending approval from state regulators, marks a significant development in OpenAI’s business trajectory. Under the terms of the agreement, OpenAI’s nonprofit entity will maintain control over operations and hold a stake in the PBC valued at over $100 billion. While the memorandum of understanding (MOU) with Microsoft is not legally binding, it outlines the expectations and intent of both parties as they work towards finalizing a definitive agreement.

The negotiations between OpenAI and Microsoft have been ongoing, with OpenAI seeking to reduce its dependency on Microsoft’s cloud services, a relationship established when Microsoft first invested in the startup in 2019. OpenAI has been actively diversifying its partnerships, including a substantial $300 billion contract with Oracle and a collaboration with SoftBank on the Stargate data center project. Despite tensions during negotiations, particularly concerning control over technology from Windsurf, an AI coding startup, OpenAI remains focused on its strategic goals. The transition to a PBC is also a focal point in Elon Musk’s lawsuit against OpenAI, which challenges the company’s shift from its nonprofit mission. Musk’s unsolicited takeover bid, which was rejected, highlighted the nonprofit’s significant stake in the PBC. As OpenAI and Microsoft continue to navigate regulatory approvals, the outcome of this transition could have far-reaching implications for the company’s future and its mission to develop AGI that benefits humanity.
