On January 22, 2024, Core & Main, Inc. and its subsidiary, along with several CD&R funds and holdings, entered into an underwriting agreement with J.P. Morgan Securities LLC and Citigroup Global Markets Inc. In this agreement, the selling stockholders will sell and the underwriters will purchase 19,782,087 shares of the company’s Class A common stock at $40.985 per share.
