TTM Technologies ( (TTMI) ) has issued an announcement.
On August 15, 2026, TTM Technologies agreed to acquire Epiq Solutions for an all-cash purchase price of approximately $1.1 billion, with its TTM Technologies North America unit buying all of Epiq’s membership interests from EDS TopCo. The deal, unanimously approved by TTM’s board, remains subject to regulatory approvals, customary closing conditions and the absence of a material adverse effect, with a long-stop date of November 15, 2026, extendable to May 15, 2027.
To fund the transaction, TTM secured a debt commitment letter on August 15, 2026 from JPMorgan, Barclays and Bank of America for $1.1 billion in incremental senior secured term loans, to cover the purchase price, related fees and the refinancing of Epiq’s debt. At closing, TTM expects net leverage of about 2.3x, plans to reduce it to 1.5x–1.7x within 12–18 months, and projects the deal to be immediately accretive to adjusted EBITDA margins and to boost non-GAAP diluted EPS during 2028.
The planned acquisition aligns with TTM’s broader growth strategy of expanding in advanced interconnect and integrated electronics, including heavy investments in data center and networking capacity, ultra-HDI aerospace and defense solutions, U.S. manufacturing and a new innovation center in Wisconsin. By adding Epiq’s small-form-factor, software-driven RF spectrum solutions and space compute capabilities, TTM aims to deepen vertical integration, broaden its addressable defense opportunities in areas such as missile defense, GEO-to-LEO space and signals intelligence, and enhance its long-cycle, high-margin revenue mix.

Spark’s Take on TTMI Stock
According to Spark, TipRanks’ AI Analyst, TTMI is a Neutral.
The score is driven primarily by improving fundamentals but uneven cash generation: profitability and returns have rebounded, yet TTM free cash flow is slightly negative and debt coverage is only moderate. Earnings call commentary and guidance were notably strong and supportive, but technicals remain mixed with weakened intermediate momentum, and valuation is stretched at a high P/E with no dividend yield support.
