Tourism Holdings Limited ( (NZ:THL) ) has provided an announcement.
Tourism Holdings Limited has received a revised, unsolicited and conditional non-binding indication of interest from a consortium led by BGH Capital and the Trouchet family, which already holds 19.9% of the company. The consortium is proposing an indicative all-cash offer of NZ$3.10 per share, subject to due diligence, financing, internal approvals and a unanimous recommendation from the thl board, alongside a favourable conclusion from an independent adviser.
Shareholders representing about 16% of thl’s register have indicated support for the board engaging with the consortium and granting it due diligence access. The board has stated it will assess the merits of the proposal in the best interests of all shareholders before the 12 June 2026 response deadline, while cautioning there is no certainty the indication of interest will lead to a binding transaction and advising investors not to take any action at this stage.
