Exail Technologies ( (FR:EXA) ) just unveiled an announcement.
Thales, the global advanced technologies group focused on defence, aerospace, cyber and digital sectors, has signed a tender offer agreement with Exail Technologies to acquire all Exail shares and ODIRNANE bonds not held by the Gorgé family. The deal follows Thales’s plan to first purchase the Gorgé family’s 35.51% stake at €134 per share, consolidating control over Exail’s leading maritime robotics and navigation activities.
Exail’s board has unanimously welcomed the transaction, appointing Ledouble as independent expert to issue a fairness opinion that will underpin its formal recommendation to shareholders. Closing of the Gorgé family stake acquisition is targeted for the third quarter of 2027, subject to customary regulatory and antitrust approvals, with the subsequent mandatory tender offer for 100% of Exail expected to be filed with the French AMF and completed by early 2028, potentially reshaping Exail’s ownership structure and strengthening Thales’s position in high-end defence and robotics technologies.
