On July 31, 2026, Tarsus Pharmaceuticals agreed to acquire privately held Alkeus Pharmaceuticals, a retinal disease-focused biotech developing gildeuretinol (ALK-001), a Phase 3 oral therapy targeting the underlying biology of Stargardt disease, which currently lacks FDA-approved treatments. The deal, announced on August 6, 2026, includes approximately $450 million in upfront consideration, up to $350 million in milestones and low-to-mid single digit revenue sharing on gildeuretinol, and is expected to expand Tarsus’ retina franchise and bolster its eye care pipeline pending antitrust clearance and customary closing conditions.

Under the merger terms, Alkeus will become a wholly owned subsidiary of Tarsus, with $270 million in cash and $180 million in Tarsus stock paid upfront and additional milestone payments tied to U.S. regulatory approval and first commercial sale of an Alkeus product, plus tiered royalties on gildeuretinol net sales. Tarsus has also entered into registration rights and lock-up agreements with Alkeus shareholders to manage resale of stock consideration, signaling a structured integration that could enhance Tarsus’ competitive positioning in retinal therapeutics and long-term growth prospects if gildeuretinol’s Phase 3 program and commercialization succeed.
