On August 6, 2026, SPAR Group’s Board of Directors accepted the immediate retirements of directors James R. Brown, Sr. and Panos Lazaretos, pursuant to resignation letters dated January 31, 2025. The Board’s decision followed a review concluding that actions by Robert Brown, who had designated both directors, breached a Change of Control, Voting and Restricted Stock Agreement effective January 28, 2022, as well as an April 27, 2026 settlement agreement with the company.

The Board further determined that Brown, Sr. and Lazaretos, as Robert Brown’s designees, had taken board actions inconsistent with the company’s best interests, failed to comply with corporate policies, bylaws and applicable OTCQB and SEC rules, and undertaken steps that were negatively affecting board performance.
