Solstice Advanced Materials, Inc. ( (SOLS) ) has shared an announcement.

On July 6, 2026, Solstice Advanced Materials Inc. signed a merger agreement to acquire Element Solutions Inc. via a two-step reorganization, leaving Solstice with a wholly owned subsidiary that will hold Element Solutions’ business. Element Solutions shareholders are slated to receive 0.5 Solstice shares plus $10 in cash per share, with Solstice stock to be listed on Nasdaq and equity awards and options at Element Solutions largely accelerated, converted or cancelled under detailed terms.

Both boards unanimously approved the deal, which is subject to stockholder votes, SEC registration effectiveness, Nasdaq listing approval and antitrust and other regulatory clearances, with an outside closing date of July 6, 2027, extendable for regulatory reasons. The agreement includes strict non-solicitation provisions, significant reciprocal termination fees, board reconfiguration to add three Element Solutions directors, and a voting support commitment from major Element Solutions stockholder Sir Martin E. Franklin, underscoring the transaction’s strategic importance and deal protections for both sides.
