Smartsheet Inc (SMAR) has released an update to notify the public and investors about corporate charter and bylaws modifications.
Smartsheet Inc.’s board of directors approved the Amended and Restated Bylaws effective January 31, 2024, in line with the SEC’s Universal Proxy Rules. These bylaws incorporate changes that address the Universal Proxy Rules, update procedural and information requirements for shareholder director nominations and business proposals, set forth guidelines for shareholder solicitation of proxies, and manage conduct at shareholder meetings. Additionally, they introduce color-coded proxy cards and limit nominations to the number of available directorships, while also including various clarifying and conforming amendments.
