Zalaris ASA has agreed to a recommended voluntary cash tender offer from Kona BidCo AS, an acquisition vehicle indirectly owned by Norvestor IX SCSp, to acquire all outstanding shares not held by management rollover shareholders or the company. The deal values Zalaris’ equity at about NOK 2.2 billion, with a NOK 100 per share offer price representing a premium of 40.1% to the last close and 31.9% to the 30-day VWAP, and the board has unanimously recommended the offer after obtaining a fairness opinion.
The offer is supported by significant pre-acceptances and rollover arrangements, with management and other shareholders committing around 30.9% of the share capital through share rollovers and undertakings to tender. Completion is contingent on more than 90% acceptance, regulatory approvals and no material adverse change, and, if conditions are met, Zalaris is expected to be taken private around May 2026, enabling accelerated investment in AI, technology and international expansion under Norvestor’s ownership.
