Intertek ( (GB:ITRK) ) has provided an update.
Shareholders of Intertek Group PLC have voted in favour of a recommended final cash acquisition by Isotope Bidco Limited, a vehicle indirectly owned by EQT funds alongside minority investors including Luxinva and Mubadala. The deal, structured as a court-sanctioned scheme of arrangement, will see Bidco acquire Intertek’s entire issued and to-be-issued share capital once remaining conditions and court approvals are satisfied.
At both the Court Meeting and General Meeting, approximately 98.7% of votes cast backed the scheme and related special resolution, clearing key shareholder hurdles for the transaction. The timetable envisages court sanction, suspension of trading and delisting of Intertek shares with completion expected in the fourth quarter of 2026 or the first quarter of 2027, subject to regulatory and court processes, marking a significant step toward taking Intertek private under EQT’s ownership.
